RESOLUTION N0. 3272 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT WITH BOYLE ENGINEERING FOR CONSULTANT SERVICES IN.CONNECTION WITH PROPOSED CORPORATION YARD THE CITY COUNCIL OF-THE CITY OF CHULA VISTA DOES HEREBY RESOLVE AS FOLLOWS: Section 1. That certain agreement between the City of Chula Vista, California, and Boyle Engineering, Architect-Engineer, ', dated December 10, 1963, a copy of which is attached hereto, and incorporated herein, the same as though fully set forth herein, be, and the same is hereby approved. ' Section 2'. ' after referred to as the "City" WITNESSETH: WHEREAS, the City of Chula Vista desires to construct certain ,; improvements to be known as, and used as, a corporation yard, and desires to retain the professional services of the Architect- Engineer, and WHEREAS, the Architect-Engineer represents that it is, regularly licensed by law to practice and render services of architecture" and civil engineering in the State of California, and desires to undertake said work pursuant to this agreement: ti NOW THEREFORE IT IS AGREED AS FOLLOWS: . 1. The City hereby employs the Architect-Engineer to perform the necessary professional services, including, but not limited to those hereinafter set forth in connection with the planning, design, and construction of a corporation yard, located on the following described real property All of the Southeast Quarter of the Northwest Quarter of Quarter Section 162 of Subdivision of RANCHO DE LA NACION, in the City of Chula Vista, County of San Diego, State of California, according to Map thereof No. 505, filed in the Office of the County Recorder of said San Diego " County, March 13, 1888. EXCEPTING THEREFROM, the Easterly 30 feet, the .Southerly 40 feet and the Westerly 140 feet. ALSO EXCEPTING THEREFROM, that portion conveyed to San Diego and Arizona Railway Company,.by deed dated May 8, 1920, and recorded in Book 811, page 414 of Deeds, records of said San Diego County, described as follows: _1_ °~'~3 ~Y ~- 3.71-- Beginning at a point on the Northerly line of "F"Street, distant 100 fee t. The,Architect-Engineer hereby accepts said employment "` and agrees to perform all the necessary professional services to the satisfaction of the City, including, but not limited' to the following: a) Participation in all conferences with the representa- tives of the City necessary for the development of the drawings, specifications; plans and documents in accordance with applicable standards and requirements of law. b). Preliminary investigations., studies and reports, approximate estimate of cost, and including the develop- ment of a Master Plan Concept for present and future corporation yard operations of the City. c) Consistent with the said Master Plan Concept, develop a schematic layout of the new corporation yard, in- cluding a site plan.. d) Presentation to the City PLanning Commission and City Council of such documents, plans and drawings as shall be necessary or proper to comply with the City's. zoning ordinances, including but not limited to those relative to architectural control, which material must be approved by the Planning Commission and the City, and Architect-Engineer agrees to make any and all necessary modifications or changes in such material to secure such City approval. -2_ e) Preparation of such complete working drawings, con- . struction plans and specifications, including de- tailed estimate o£ cost, satisfactory to the City as are necessary for obtaining bids and for efficient execution of work. Reproducible masters for all con- .. , x ..:.•. ,. tract `.documents, including but not .limited'to,, ,,,;,, Advertisement'+'forR Bids",' Information for Bidders, Bid 4 forms;_Bonds;,_General Conditions, Special Conditions and Agreement will be prepared by the Architect- Engineer, subject to the approval of the City Engineer and City Attorney, the City shall reproduce from these .masters such copies as may be needed in connec- tion with this project. Such documents shall be for the initial increment of said corporation yard, generally to consist of buildings, office space and appurtenances thereto to serve-the Public {forks Department, including the Streets and Equipment _.. `, ,. Division, (Street Maintenance Section, Equipment Section, Utilities Section, Street Painting and Sign Group); Engineering Division, (Traffic Section, Surveying and Inspection Section); Building Division, (Construction and Repair Section, and Building Maintenance Section) and including Purchasing Depart- ment, (Central Stores and Printing.) f) ;The City shall specify the sum of money set aside to cover the total cost of said initial increment, including construction but excepting and excluding Architect-Engineers fees, and Architect-Engineer agrees to develop such plans so that the total con- struction cost to the City shall not exceed such specified sum, and endeavoring is so doing to keep -3- z the actual cost of the work as low as may be con- _.- sistent with the purpose of the buildings and good workmanship and proper materials. Should it become evident' during the planning of the work that such total construction cost will exceed the specified ,:• _" sum;';the Architect-Engineer shall at once notify and ,.: , m .a_ ~ , . -,..present~to tfie City Council, with a copy to the City"Engineer-; a statement in writing setting forth such information and giving a full statement of the ___ ._ . • - cost estimates-on which the conclusion is based. In the event such statement is not filed and bids re- ceibed by the City for the construction of the work indicate that it cannot be constructed in accordance with the plans and specifications furnished by the -Architect-Engineer for the specified sum, the Architect-Engineer shall, if requested by the City but at no cost to the ,City therefor, so revise, amend or modify the plans and specifications for the work that the construction may be completed for a total cost not exceeding the specified sum. g) Such assistance as may be requested by the City in the securing of bids,awarding o£ the contract for con- struction. ' h) Furnish general supervision of the work of contractors including periodic visits to the project, approval of shop drawings, assist in a correct interpretation' of the plans and specifications to safeguard the City against defect and deficiencies on thepart of the contractors. It is understood that the Architect- Engineer does not guarantee performance of the con- tract by contractors. Architect-Engineer shall further -4- prepare document s, and drawings as are made necessary by any errors in the originally approved drawings,. specifications or documents, and by such modifications ' . V Y ',q __ ~ ~ ~ ~ a anticipated conditions encountered during construction. . ~~1~:. ~ _ ~~" ~ Further, "general supervision" shall be distinguished i, t from continuous personal inspection as hereinafter stipulated to be furnished by the City. i) Prepare estimates for progress payments to the con- tractor. j) Prepare and furnish such drawings and specifications as may be required to obtain the necessary building permits and other permits made necessary by the con- . templated placement of said work on the site. k) The Architect-Engineer shall comply with all applicable requirements of law with respect to approval of draw- ings and specifications in connection with said project. 1) Drawings and specifications supplied as herein required are the property of the City whether the work for which .they are made be executed or not. The,Architect- Engineer shall furnish to the City such copies of all drawings and specifications as are necessary for study by the City and its representatives and shall supply to the City without any additional cost, re- ~` producible masters of said drawings and specifications so the City can.reproduce such additional copies as will be needed in connection with said construction project. m) The Architect-Engineer shall make a final inspection and report of the construction and prepare "as built" record drawings of same. _ -5- 3. After award of the construction contract should any material - change or changes become necessary in the plans and specifications of the contracted construction, the Architect-Engineer shall immediately advise the City in writing of such changes and the ~._ . .. necessity therefor and shall not order the contractor to make such changes until such written change order has-been signed by ' ~ the contractor. and Architect-Engineer and the City's written approval thereon has been secured. Architect-Engineer may order, pending formal City approval, such changes as may be necessary at the time to meet construction emergencies if written approval of the City Engineer is first secured. 4. The City agrees to the following undertakings and responsibilities: a) It shall designate, when necessary and when requested by Architect-Engineer, representatives authorized to act in its behalf, it shall examine documents sub- mitted by the Architect-Engineer and render decisions pertaining thereto promptly, so as to avoid unreason- able. delay in the progress of the Architect_Engineers work. The City shall issue orders to contractors only through the Architect-Engineer. b} It shall furnish or direct the Architect-Engineer to obtain at the City's expense, a certified survey of the site, giving, as required, grades and lines of streets, alleys, pavements, and adjoining property; rights of way, restrictions, easements, encroachments, zoning, deed restrictions, boundaries and contours of the building site; locations, dimensions, and complete data pertaining to existing buildings, other improve- ments and trees; full information as to available service and utility lines both public and private; and test borings and pits necessary for determining -6- subsoil conditions. ' e) Tf the City Engineer or personnel under his direct supervision become aware o£ any defects. in flie::Project, it shall become the City's duty to give prompt written notice thereof to the Architect-Engineer. f) The City shall furnish continuous resident inspection. 5. The City agrees to pay to the Architect-Engineer for the per- formance of all services, unless otherwise herein specified, rendered herein sums according to the following schedule: (1) Should the cost of the project be less than $150,000.00, a sum equal to 7% thereof. ,. (2) Should the cost of the project be $150,000°00 and less than $250,000°00, a sum equal to 6z% ~. thereof. (3) Should the cost of the project be $250,000.00 or more, a sum equal to 6% thereof. Architect-Engineer's fee shall not be included as a "cost of the project" as hereinabove referred to. 6. Such fee as the City shall be obligated to pay as determined in paragraph 5 hereinabove shall be paid in accordance with the b) Upon the completion. and acceptance by the City of the detailed construction plans and specifications a sum equal to 80% of the total fee, deducting there- from the sum of $2,000.00 theretofore paid. , c) Upon the completion and acceptance by the City of . - ?A= ;. - the construction, such acceptance to be evidenced in x - writing, the remaining 20% of the total fee, less _:- any sums theretofore paid or advanced other than those specified in b) above. 7. Should detailed construction plans and specifications referred to in 6 b) hereinabove be not.completed or the proposed work is not constructed Architect-Engineer shall be entitled to an additional fee to the sum of $2,000.00 and such fee together with said $2,000.00 shall constitute payment in full for all working drawings, specifica- tions and contract documents and other,_services rendered by Architect- Engineer. The additional fee shall be determined from an account- ing made of the architects and engineers record of personnel costs and other expenses together with reasonable .overhead expenses. The personnel hourly rates shall be the going rates for the particular classification in the San Diego Metropolitan area. ' 8. The Architect-Engineer shall furnish the necessary reproductions of working plans and specifications and shall be reimbursed its out of pocket costs for same.. This reimbursement shall be in addition to the basic fee as provided for .in Section S. hereinabove. 9. All terms, conditions and provisions hereof shall inure to the benefit of and shall bind the parties hereto, their respective heirs, executors, administrators, successors and assigns. Architect- Engineer shall not sublet, assign or transfer his interest in this contract without written consent of the City. 10. The Architect-Engineer shall not proceed with the performance of any services under this contract until a Schedule of steps to be undertaken with time intervals and dates of performance shall be signed by both parties hereto and attached to this agreement as an integral part thereof.
