WHEREAS, the Second Party is desirous of supplying such assurances, NOW, THEREFORE, IT IS HEREBY AGREED BY and between the City of Chula Vista, and the Second Party as follows: 1. Said Second Party agrees to undertake and complete, and to pay for all labor and materials in connection therewith, within a period bf- 365 days from the .date liereof,:all the necessary work and installationJ~of improvements-.in.~the.hereinabove described subdiv- ision in full conformity with the ordinances of the City of Chula Vista, the laws of the State of California, the directions of proper officials of the City of Chula Vista, California, as may be applicable thereto, and the plans for such improvements on file~:~in the office of the City Engineer of the City of Chula Vista, bearing the~file numbers: 63-SSL through 63-62L The execution of this contract automatically acknowledges by the Party ~ of the Second Part, the responsibility to guarantee all public improve- I ments for a period one (1) year fromthe date of final acceptance. i The Second Party further agrees to indemnify, protect and hold i harmless the said City of Chula Vista from any and all claims of liability for personal injury, property damage, labor or material claims which may be made against the said City by reason of said work and i 1 installation of improvements as herein provided. 2. As a guarantee and as security for its full and faithful performance in complying with all the requirements for thecompletion III of said subdivision as aforesaid, the said Second Party shall deliver ~ i to the City of Chula Vista upon the execution of this agreement, a i letter of credit from a financial institution subject to the regula- tions of the State of California to meet the requirement of pledged monies as provided by the California Business and Professions Code, i Section 11612, such letter of credit to guarantee the payment of $108,114.53. ~ 3. Zt is further agreed that in lieu of the material and labor bond required by Section 28 (b) 2 of the City Code the Second Party agrees to secure an agreement with the financial institution furnishing such letter of credit wherein and whereby such institution agrees that no payments from said fund shall be made without the approval of the City Engineer of the City of~Ckiula Vista first obtained in writing and it is further agreed that the Second Party shall, within 10 days of completion of the improvements referred to herein including a water distribution system, furnish the City of Chula Vista with an affidavit or affidavits to ;.the>effect that all material, men and laborers involved in the improvements have been paid and fully satis- fied and shall attach true copies of evidence of such satisfaction to such affidavits. 1 '. 4. It is further agreed that should said material, men and/or laborers be not so satisfied, or if at any time the City of Chula Vista hasgood reason to believe that same are not so satisfied, the City of Chula Vista shall be entitled to withhold any.Utility clearance and approval Wierein and whereby the City of Chula Vista certifies or approves the servicing of buildings by the utilities, including elec- tricity,.gas and/or water. This agreement shall be binding upon the heirs, successors or assigns of the Second party.
