THIS AGREEP~I£NT; made 1958 by and between the inafter referred to as 490 East 'Walnut Street, hereinafter referred to and entered into this /d' day of ~i~~ ~,-2 City of Chvla Vista, State of California, here- the "City", and Engineering-Science, Inc., Pasadena, California, a California corporation, as the "Consulting Engineer";` 1~fITNESSETH Y 1NHERE9aS, the City desires to develop a Master Plan for Sewerage to guide the City in its future activities relating to the collection, treatment, and disposal of sanitary and industrial sewage; and ~+1HEREAS, it is the purpose of this Agreement to provide for services to ~ be rendered b the Consultin En sneer to the Cit for the J Y 9 9~ y purpose of preparing this Master Plan; NOW; THEF2EF0~, in consideration of the premises and mutual benefits which will accrue to the parties hereto in carrying out the terms of this agreement, it is mutually understood and agreed as follows: 1, Scope of Work The Consulting Engineer agrees to furnish various professional services, pertinent to the preparation of the Master Plan, specifi- cally outlined as follows: A. Estimation of future quantity and characteristics of sanitary and industrial sewage flows originating within the City, and within areas now adjacent to the City which might annex= to the City prior to the year 2000 (as shown on the attached map, marked Exhibit A,) This work involved the following detailed studies: ~~ ~ ~~ (1) Study of the quantity and characteristics of sanitary and industrial sewages currently produced in the City (includ- ing necessary gagings and laboratory analyses),. (2) Study of current water consumption in the City by domestic and industrial consumers, and estimation of the likely future availability and consumption of water, (3) Study of usable land within the areas of concern to evalu- ate the likely growth of population and industry in these areas, (4j Based on (i), (2), and (3), estimation of the likely future ~,: J 1 production of sanitary and industrial sewage, with respect both to quantity and quality, B, Development of a comprehensive plan of main, trunk and outfall sewers, based on the information developed under (a), to serve the anticipated permanent needs for collecting sewage originat- ing in the areas concerned, This includes the following detail work: (1) Delineation of the most economical system of mains, trunks, and outfalls, includng.necessary pumping plants and other major sewer appurtenances, based on comparison of construc- tion costs for alternate routes or systems, including determination ,of design flow quantities and of sewer sizes needed for carrying peak loads,' (2) Preliminary design of the sewers included in the compre- hensive plan, including plan and profile drawings, and including determination o£ the most economical sewer and sewer jointing materials suited to the ground conditions, (Note; the plans and -2- profiles will be similar to those contained in the "Report Upon the Collection, Treatment, and Disposal of Sewage and. Industrial Wastes of Orange County, California" 1 July 1947). Also, determination of basic design factors for any needed pumping plants or other major sewer appurtenances, (3) Estimates of costs for construction and operation of the sewers and of any other works (including pumping plants} included in the comprehensive plan, (4) Evaluation of the existing system of main-and trunk sewers in the City and the extent to which these can be utilized in the permanent plan, (5) Development of a schedule for construction of the various sewers and other works over the years, as needed for handling the anticipated sewage flows, with particular attention to relief of trunks now overloaded or about to be overloaded. C, Analyses for determing the most economical satisfactory plan for the City for the future treatment and disposal of sewages, This involves comparison of two alternatives, namely participating in the proposed San Diego metropolitan system, or maintenance of the City°s own independent treatment and disposal plant; The detailed analyses would be as follows: (1) For the plan for participating in the San Diego metropolitan system, evaluation of the adequacy of the proposed metropolitan system for meeting the City°s ,needs: evaluation o£ the fair capital and operation charges which should be borne by the City if so participating; and determination of the contract conditions equitable -3- d both to San Diego and to the City under which the City might properly participate (including provisions as to measurement of sewage flow quantities to be delivered to the metropolitan 'system and as to reasonable limitations on the characteristics of this flow). (2) For the plan for continuing an independent treatment and dis- posal plant, evaluation of the adequacy of the present works, estimation of the degree of treatment now required to meet effluent standards of the regulatory agencies and likely to be required in the future,determination of plant enlargements and improvements which will be needed both in the near future and over the years for meeting effluent standards, and estima- tion of the capital and operating costs of these enlargements = and improvements. (3) A critical comparison of the two alternatives considering both the economic and other significant influencing factors, with a recommendation as to the plan best suited to the City for both present and future needs. D. Development of recommendations for control by the City of industrial wastes discharged to.the City sewers, including desirable require- ments for pretreatment of such wastes by the producing industry, for the purpose of preserving and protecting the City's sewerage system while at the same time furnishing maximum service to industry. E. Preparation of the most feasible plan for financing of the City's ,future sewerage program, including estimation of future assessed valuation which could serve as a tax base, and consideration of the applicability of sewer rentals (including possible special rates -4- for industrial discharges). In developing the Master Plan of Sewerage and its various components as described under Items (A) through (E) above, the period of time to be considered shall be the period from the year 1959 to the year 2000, with due attention given to meeting both immediate and long-range needs. The Consulting 'Engineer, shall, in developing the Master Plan, consult with the Regional Water Pollution Control Board and other pertinent regulatory agency officials, and shall be guided by the "Sewage Collection and Treat- meat System Study Outline" prepared 1 August 1958 by W, E. Harsh- man, Principal Engineer. ' 2. Format of Report The completed report will be reproduced as ozalid prints made from a text typed with carbon backing, The City will be furnished 10 copies of the report plus the carbon-backed original copy from which additional ozalid copies may be made. = 3. Fee Schedule The City agrees to pay the Consulting Engineer as compensation for the previously named professional services, fees as follows: Item ?,. Progress of the work The Consulting Engineer will commence his work immediately following execution of this Agreement, and agrees to complete the -5- " work in an estimated period of five months from the date of the .Agreement. This completion date is contingent upon strikes, boy- cotts, accidents, inclement weather, or other acts of God which the Consulting Engineer could not have reasonably foreseen or provided for against. 5. .Assistance by the City The City shall furnish all feasible assistance to the Consult- ing -Engineer as may be needed for expediting the work, particularly in Furnishing copies of maps, reports and records. The City shall assist the Consulting Engineer in obtaining access to any private property where such access is essential to the prosecution of this project, 6. Termination The City may terminate this contract at any time upon written notice to the Consulting Engineer. Upon such termination the Con- sulting Engineer shall be paid in full for those phases of the contract which have been completed. In the event portions of the work have not been completed, the Consulting Engineer shall be paid the reasonable value o£ such work performed prorated upon the percent of the work completed. 7. Insurance The Consulting Engineer agrees to maintain in full force dur- ing the life of the contract the following insurance: (a) Workmen's compensation insurance covering the Consult- ing Engineer"s full liability under the Workman's Compensation Law of California. (b) Comprehensive public liability insurance in the amount as follows: -6- ,. $100,000 and $300,000 Bodily Injury 50,000 Property Damage The City shall be named as a co-insured on said policy of insurance and said policy shall provide that the City shall be notified at least 15 days prior to any change in said coverage. The Consulting Engineer and. the City each binds himself, his partners, successors, executors, administrators and assigns, to the other party of this Agreement and to the partners, suc- cessors, executors, administrators and assigns-of such other party in respect of all covenants of this Agreement. Except as f' above, neither party shall assign, sublet or transfer his interest in this Agreement without the written consent of the other party hereto.
