RESOLUTION NO. 4161
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA
APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND
THE CHULA VISTA CHAMBER OF COMMERCE FOR ADVERTISING AND
PROMOTIONAL SERVICES FOR THE 1966-67 FISCAL YEAR
AND AUTHORIZING THE MAYOR TO EXECUTE SAME
The City Council of the City of Chula Vista does hereby
resolve as follows:
That that certain agreement between the City of Chula Vista,
a municipal corporation, and the Chula. Vista Chamber of Commerce for
advertising and promotional services for the 1966-67 fiscal year,
dated the 1st day of July 19 66, a copy of which
is attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of said City.

sor,-,etimes referred to as Advertiser, and the CITY OF Cri[iLA T/ISTA, a
unicipal Corporation, i~ereinafter sor~~eti:.ies referred to as the CITY.

WFIe:1tEAS Advertiser is a Char?ber of Commerce located in the city of
Chula'Vista, and as sucl:~ has special knowledge, experience, and facilities
for promotion, entertaining and advertising work for and on behalf of
tl~e City of Chula Vista and for doing tine t ings I~ereinaftet^ agreed to
be done by it, and

Chula Vista and to do the things hereinafter agreed to be done by said
Advertiser,

and to be performed, tine parties do hereby agree as follows:
FII~.ST: Advertiser l?ereby agrees during the term of this contract to
receive and entertain public guests of the Gity; to advise the City
Council of opportunities to advertise and promote tine cotranunity, to de-
velop and advise the City of needed public improvements leading to the
bettern.ent of the cor~:;.unity; to promote a friendly spirit among the
merchants of the community a?7d i~etween tl;.e merchants and the general public;
to design, print, publish and distribute pamphlets and-other printed nat-
ter; to stimulate business and er«ployz,,ent opportunities within the com-
nunity; to induce tiie iim~igration of industry, mercantile establishments
and population to the City; to assist in public celebrations held by the
City, to exi=ibit agricultural and industrial products of said City, and
generally to advertise and pror;~.ote the City of Chula Vista; all in the
public interest and in tl.e manner herein provided. Said projects and the
amounts designated and allotted for each separate project are shown on
Exhibit "A" attached hereto and by this reference made a part hereof.
SECOND: The term of tI-~is contract shall be from the first day of
July, 1966, until June 30, 1967.
THIRD: T1<e services to be performed by advertiser under this,con-
tract are hereby classified as (1) Ordinary, and (2) Extra Ordinary.
FOURTF_: The Advertiser shall perform ordinary services of the nature
above mentioned during tre term_ of ti~is contract without specific di-
rection from t1Ae City and for ti~.e compensation mentioned in the Sixth

Paragraph.
FIFTi~: Extra Ordinary Services: Whenever the City Council of the
City shall desire the performance of a specific and extra ordinary
service from Advertiser under ti~is contract, it shall rer~uest Advertiser
to prepare and present for the approval of said Council a plan of
advertising, entertairunent, or other suitable proposal for the promotion
and advertising of ti2e City and the approximate cost thereof . s+d'zen-
ever Advertiser shall be of the opinion that any extra ordinary service
of the characternerein provided for should be undertaken, it shall
make a reconmiendation to said Council and present a plan or proposal for
t'r~e consideration of said Council specifying the service to be rendered
or worl~ to be done and the approximate cost t:~ereof. Upon the approval
of any such plan or proposal by said City Council whet~~.er presented in
response to the direction of said Council or upon tL.e initiative of
Advertiser, Advertiser small proceed with ti_e execution of such plan or
proposal and wall be entitled to additional coz:~pensation therefore as
hereinafter provided. Said Council r._ay r.-odify any such plan or pro-
posal in any particular or rfaV finally reject suc~.,. plan or proposal in
its entirety, or r.!ay direct tl.Le submission of a new plan or proposal
whic~~ may be modified, altered or rejected in the same manner. The
Advertiser shall always ?-.ave tine option to refuse to undertake a plan
or proposal requested by tie City Council or a plan or proposal sug-

executing said plan or proposal whicl_ wall not exceed by more than ten
(lOj~} per cent the estimated cost of such plan or proposal as izerein-
above provided. It is understood and agreed that no part of any sum
paid by the City to Advertiser as reimburserzent for unusual or extra
ordinary services shall ever be used to gay the salaries of officers
of Advertiser or overhead.
` SIXTfit Advertiser agrees to use its facilities and its special
knowledge and experience in carrying out the terms of this agreement
to be perf ormed by it. In consideration of usual, as distinguished
from unusual or extra ordinary services that will be performed by
Advertiser for the City during the term of this agreement, the City
hereby agrees to pay certain sums of money to Advertiser during the
term of this agreement to defray the expenses and overhead of Advertiser

SEVENT1l; The total surz above mentioned shall be paid Advertiser in ~,
twelve equal installments, payable the first day of each month, com-
mencing July 1st, 1966.
EIGHTIi: All money due Advertiser under this contract shall be paid
upon demands presented and audited, and all demands for Ordinary or
Extra Ordinary service shall be supported by a statez~ent of Advertiser
in the foruz of the monthly financial reports showizzg the amount expended
or liabilities incurred forming the basis of such clai~zz. For Ordinary
and Extra Ordinary services Advertiser shall be entitled to payment only
for the expense actually paid or incurred by it in carrying out of any
plan or proposal and shall not receive any cozizpensation for its own
services as such.
