Form No. 312 RESOLUTION N0. 4375 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA ACCEPTING BIDS AND AWARDING CONTRACT FOR THE IMPROVEMENT OF MELROSE AVENUE FROM EAST QUINTARD TO EAST RIENSTRA STREETS, AUTHORIZING THE EXPENDITURE OF THE NECESSARY GAS TAX FUNDS, AND AUTHORIZING THE MAYOR TO EXECUTE SAID CONTRACT The City Council of the City of Chula Vista does hereby resolve as follows: WHEREAS, the following ten bids were received and opened at 11:00 a.m, on the day of April , 19 67, at the Civic Center, 276 Guava Avenue in the City of Chula Vista for the minimal improvement of Melrose Avenue from East Quintard to East Rienstra Streets, and alternate: Lomax Construction Cameron Bros. Construction Sim J. Harris Company R. C. Speaks Hazard Contracting C. W. McGrath, Inc. M. L. Chilcote Ramar Electric Ferry Bros. Construction Griffith Company 5th Minimal Improvement Alternate $15,958.00 17,996.50 18,441.00 19,174.00 22,663.00 24,400.00 25,652.50 25,868.40 28,718.00 32,974.10 $40,798.10 22,2.70.00 22,237.80 24,675.90 27,885.65 29,746.75 30,827.25 32,987.05 35,367.00 39,946.60 WHEREAS, the City Engineer of the City of Chula Vista has recommended that the alternate improvement of Melrose Avenue be considered, to provide a more adequate and safer roadway, and to enable the City to expend Gas Tax Funds for said project, and WHEREAS, the City Engineer has recommended that the contract for said alternate improvement of Melrose Avenue between East Quintard and East Rienstra Streets, be awarded to the low bidder, Sim J. Harris Company , who has assured the City that he is a licensed Contractor in the State of California, and that he can produce an acceptable performance bond. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vista that the said 10 bids be, and they are hereby accepted. BE IT FURTHER RESOLVED THAT the contract for said alternate improvement of Melrose Avenue between East Quintard and East Rienstra -1- ` ~. Form No. 312 Page 2 according to the specifications as approved by the City Engineer be, and it is hereby awarded to Sim J. ~iarri~ cnmiany , and that said improvement of Melrose Avenue shall be completed according to said specifications. BE IT FURT~IER RESOLVED that the Mavor of the City of Chula Vista be, and he is hereby authorized and directed said contract for and on behalf of the City of Chula Vista. BE IT FURTHER RESOLVED that the expenditure of the sum of $22,237.80 from the Gas Tax Funds for the purpose set forth hereinabove. Presen ed by .... Lane F. The inspection of the work shall not relieve the contractor of any of his obligations to fulfill the contract as prescribed. Defective work shall be made good, and unsuitable materials may be rejected notwithstanding the fact that such defective work and unsuitable materials have been previously overlooked by the Engineer and accepted or estimated for payment. (i) Removal of Defective and Unauthorized G7ork - All work w'raic'n is defective in its construction or deficient in any of the requirements of these specifications shall be remedied, or removed and replaced by the contractor in an acceptable manner, and no compensation will be allowed for such correction. Any work done beyond the lines and grades shown on the plazas or established by the Engineer, or any extra work done without written authority will be considered as unauthorized and will not be paid for. Engrg.-SC-9 1~-V3'J 5 r f ~' CONTROL OF MATERIALS (a) Samples and Tests - At the option of the Engineer, the source of supply of each of the materials shall be approved by the Engineer before delivery is started and before such material is used in the work. Representative preliminary samples of the character and quality prescribed shall be submitted by the contractor or producer of all materials to be used in the work, for testing or examination, as desired by the Engineer. All tests pf materials shall be conducted and results submitted by bonded testing agencies to the Engineer for approval. Tests shall be made in accordance with commonly recognized standards of national organi- zations, and such special methods and tests as are prescribed in these specifications. The contractor sYiall furnish such samples of materials as are re- quested by the Engineer, without charge. No material shall be -used until it has been approved by the Engineer. Samples will be secured and tested whenever necessary to determine the quality of materials. (b) Defective Materials - All materials not conforming to the requirements of these specifications shall be considered as defective, and all such materials, whether in place or not, shall be rejected. They shall be removed immediately from the site of the work unless otherwise permitted by tl~e engineer. No rejected materials, the defects of which have been subseq~~ently corrected, shall be used until approved in writing by the Engineer. (g) Registration of- Contractors - Before submitting bids, contractors shall be licensed in accordance with the Provisions of Chapter 9 of Division III of the Business and Professions Code. (h) Permits and Licenses - The contractor shall procure all permits, and licenses, pay all charges and fees, and give all notices necessary and incidental to the due and lawful prosecution of the work. . (i) Patents - The contractor shall assume all responsibilities arising from the use cif F»i.cr,t.ed mat_er.ials, equipment, devices o.r processes used on or incorporated .in the work. (j ) Publi.r, C~~nv~~ni.ence and Safety - The contractor shall so conduct his operations as tc: cause the least possible obstruction and inconvenience to public traffic. Unless other existing streets are stipulated in the special provi:zi_or~s to be used as detours, all traffic shall be permitted to pass through the wox-}c. FZesi.dent:s a r,r~cr the road or street shall be provided passage as far as practicable. Convenient access to driveways, houses, and buildings along the road or street sl~a]_1 be maintained and temporary r_rossings shall be provided and ma.i.nt:a.i.ned .in good condition. No road shall be closed at any time without tli~ approval of -the Dngi.neer. The contractor shall furnish, erect, and maintain such fences, barriers, lights, and signs as are necessary to give adequate warning to the public at all times that the road or street is under construction and of any dangerous conditions to be encountered as a result thereoF, and he shall also erect and maintain such warning and directional signs as may be furnished by the City. Engrg.-SC-12 -12- ~i-v~ ~ s Legal Relations and Responsibilities - page 3 Public Convenience and Safety - Continued The contractor shall furnish, erect and maintain such fences, barriers, lights, and signs as are necessary to give adequate warning to the public at all times that the road or street is under construction and of any dangerous conditions to be encountered as a result thereof, and he shall also erect and maintain such warning and directional signs as may be furnished by the City. (k) Responsibility for Damage - The City of Chula Vista, the City Council, or the Engineer shall not be answerable or accountable in any manner for any loss or damage that may happen to the work or any part thereof, or for any material or equipment used in performing the work or any part thereof, or for injury or damage to any person or persons, either workmen or the public, for damage to adjoining property from any cause what- soever during the progress of the work o.r at any time before final accep- tance. The contractor shall indemnify and save harmless the City of Chula Vista, the City Council, all officers, and employees of the City of Chula Vista, from all claims, actions or the costs and expenses of defending actions brought by any person or persons for or on account of any injuries or damage sustained by reason of, or arising out of, the construction of the work or in consequence thereof. The City Council may retain so much of the money due the contractor as shall be considered necessary, until disposition has been made of such claims or actions as aforesaid. (1) Contractor's Responsibility for Work - Contractor shall, at his own expense, carry and maintain during the course of the work of construction, Workmen's Compensation Insurance and Comprehensive Liability Insurance, naming the City of Chula Vista as an additional insured, in the amount of at least one hundred thousand dollars ($100,000.00) for any occurrence resulting in the bodily injury or death of any one person; three hundred thousand dollars ($300,000.00) for any occurrence resulting in bodily injury to, or death of, more than one person; Automobile Property Damage Liability in the amount of at least five thousand dollars ($5,000.00); and Property Damage Liability, other than Automobile, in the amount of twenty-five thousand dollars ($25,000.00). The contractor shall, within five (5) days after the awarding of the contract, and before commencing the work of construction, deposit with the Finance Officer of the City, a certificate certifying that such insurance is, and will be, in full force and effect from the time the work is commenced until completed. Except as provided above, until the formal acceptance of the work by the City Engineer, the contractor shall have the charge and care Engrg.-SC-13 -13- '(~-yj J j { Legal Relations and Responsibilities - page 4 Contractor's Responsibility for Work - Continued thereof and shall bear the risk of injury or damage to any part thereof by the action of the elements or from any other cause, whether arising from the execution or from the non-execution of the work. The contractor shall rebuild, repair, restore, and make good, all injuries or damages to any portion of the work occasioned by any of the above causes before final acceptance and shall bear the expense thereof, except such injuries or damages occasioned by acts of the Federal Government or the Public Enemy. (m) No Personal Liability - Neither the City Council, the Engineer, nor any other officer or authorized assistant or agent shall be personally responsible for any liability arising under the contract.. (n) Responsibility of City - The City of Chula Vista shall not be held responsible for the care or protection of any material or parts of the work prior to final acceptance, except as expressly provided in these specifications. (o) Taxes - All applicable State or Federal taxes shall be considered as included in the amount paid for the various items of work. The con- tractor shall be responsible for payment of such taxes to the proper. governmental authority. Engrg.-SC-14 -14- PROSECUTION AND PROGRESS (a) Subletting and Assignment - The contractor shall give his personal attention to the fulfillment of the contract and shall keep the work under his control. Sub-contractors will not be recognized as such, and all persons engaged in the work of construction will be considered as employees of the contractor and their work shall be subject to the provisions of the contract and speci- fications. Where a portion of the work sublet by the contractor is not being prose- cuted in a manner satisfactory to the City Engineer, the sub-contractor shall be removed immediately on the order of the City Engineer and shall not again be employed on the work. The contract may be assigned only upon written consent of the City Engineer. (b) Progress of the Work and Time for Completion - The contractor shall begin work on or before the date specified in the "Notice of Execution of Contract" which date shall be not less than ten (10) days following execution of the contract by the City. The contractor shall provide to the City Engineer, written notice of the specific date upon which he plans to commence work. Notice shall be given at least twenty-four (24) hours in advance. The contractor shall prosecute the work to completion before the expiration of THl~TY t30} consecutive calendar days from the date specified in the "Notice of Execution of Contract" by the City. (c) Character of Workmen - If any sub-contractor or person employed by the contractor fails or refuses to carry out the directions of the Engineer, or shall appear to the Engineer to be incompetent or to act in a disorderly or improper manner, he shall be discharged immediately on the order of the Engineer, and such person shall not again be employed on the work. (d) Temporary Suspension of Work - The Engineer shall have the authority to suspend the work wholly, or in part, for such period as he may deem neces- sary, due to unsuitable weather, or to such other conditions as are considered unfavorable for the suitable prosecution of the work, or for such time as he may deem necessary, due to the failure on the part of the contractor to carry out orders given, or to perform any provisions of the work. The contractor shall immediately obey such orders of the Engineer and shall not resume the Engrg.-SC-1S -15- I~~U~1.~ Prosecution and Progress - page 2 Temporary Sus ension of Work - Continued work until ordered in writing by the Engineer. (e) Time of Completion and Liquidated Damages - It is agreed by the parties to the contract that, in case all the work called for under the contract is not completed before or upon the expiration of the time limit, as set forth in these specifications, damage will be sustained by the City of Chula Vista, and that it is and will be impracticable to determine the actual damage which the City will sustain in the event of and by reason of such delays; and it is therefore agreed that the contractor will pay to the City of Chula Vista the sum of fifty dollars ($50.00) per day for each and every days delay beyond the time prescribed to complete the work; and the contractor agrees to pay such liquidated damages as are herein provided, and_ in case the same are not paid, agrees that the City of Chula~Vista may deduct the amount thereof from any money due, or that may become due, the contractor under the contract. It is further agreed that, in case the work called for under the contract is not finished and completed in all parts and requirements within the time specified, the City Council shall have the right to extend the time for completion or not, as may seem best to serve the interest of the City; and if it decides to extend the time limit for the completion of the 'contract, it shall further have the right to charge to the contractor, his heirs, assigns or sureties, and to deduct from the final payment for the work, all or any part, as it may deem proper, of the actual cost of engineering, in- spection, superintendence, and other overhead expenses which are directly chargeable to the contract, and which accrue during the period of such ex- tension, except that the cost of final surveys and preparation of final estimate shall not be included in such charges. The contractor shall not be assessed with liquidated damages nor the cost of engineering and inspection during any delay in the completion of the work caused by Acts of God or of the Public Enemy, acts of the City, fire, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather or delays of sub-contractors due to such causes; provided that the contractor shall, within ten (10) days from the beginning of any such delay, notify the Engineer, in writing, of the causes of delay, who shall ascertain the facts and the extent of the delay, and his findings of the facts thereon shall be final and conclusive. (f) Suspension of Contract - If, at any time, in the opinion of the City Council, the contractor has failed to supply an adequate working force, or material of proper quality, or has failed in any other respect to prosecute the work with the diligence and force specified and intended in and by the terms of the contract, notice thereof in writing will be served upon him, and Engrg.-SC-16 -16- ~-v~rs Prosecution and Progress - page 3 Suspension of Contract - Continued should he neglect or refuse to provide means for a satisfactory compliance with the contract, as directed by the Engineer, within the time specified in such notice, the City Council in any such ease shall have the power to suspend the operation of'the contract. Upon receiving notice of such sus- pension, the contractor shall discontinue said work, or such parts of it, as the City Council may designate. Upon such suspension, the contractor's control shall terminate, and thereupon the City Council, or its duly authori- zed representative may take possession of all, or any part of the contractor's materials, tools, equipment, and appliances upon the premises, and use the same for the purpose of completing said contract, and hire such force and buy or rent such additional materials and supplies at the contractor's expense, as may be necessary for the proper conduct of the work and for the completion thereof; or may employ other parties to carry the contract to completion, employ the necessary workmen, substitute other machinery or materials, and purchase the materials contracted for, in such manner as the City Council may deem proper or the City Council may annul and cancel the contract and re-let the work, or any part thereof. Any excess of cost arising therefrom over and above the contract price will be charged against the contractor and his sureties, who will be liable therefor, in the event of such suspension, all money due the contractor or retained under the terms of this contract ,shall be forfeited to the City; but such forfeiture will not release the contractor or his sureties from liability or failure~to fulfill the contract. The contractor and his sureties will be credited with the amount of money so forfeited toward any excess of cost over and above the contr.act_ price, arising from the suspension of the operations of the contract and the completion of the work by the City, as above provided, and the contractor will be so credited with any surplus remaining after all just claims for such completion have been paid. ' In the determination of the question whether there has been any such non-compliance with the contract as to warrant the suspension or annulment thereof, the decision of the City Council shall be binding on all parties to the contract. (g) Right-of-way - The right-of-way,for the work to be done will be provided by the City. The contractor shall make his own arrangements, and pay all expenses for additional area required by him outside the limits of right-of-way, unless otherwise provided in the "Construction Details." Engrg.-SC-17 _l~_ '~- ~l 3 7 5 MEASUREMENT AND PAYMENT (a) Extra and Force Account Work - Extra work, as hereinbefore defined, wizen ordered and accepted, shall be paid for under a written work order in accordance with the terms therein provided. Payment for extra work will be made at the unit price ar lump sum previausly agreed upon by the contractor and the Engineer, or by force account. If the work is done on force account, the contractor shall receive the actual cost of all materials furnished by him as shown by his paid vouchers, plus fifteen percent (15%), and for all labor, equipment and teams that are necessary, he shall receive the current prices in the locality, which shall have been previously determined and agreed to in writing by the Engineer and by the contractor, plus fifteen (15) percent; provided, however, that the City reserves the right to furnish such materials required as it deems expedient; and the contractor shall have no claim for profit in the cost of such materials. The price paid for labor shall in- clude any compensation insurance paid by the contractor. All extra work and force account shall be adjusted daily upon report sheets, prepared by the Engineer, furnished to the contractor and signed by both parties, which daily reports shall thereafter be considered the true record of extra work or force account work done. (b) Progress Payments - The City shall, once in each month, cause an estimate, in writing, to be made by the City Engineer of the total amount of work done and the acceptable materials furnished and delivered by the contractor on the ground and not used, to the time of such estimate, and the value thereof. The City of Chula Vista shall retain ten percent (10%) of such estimate d_ value of the work done and fifty percent (50%) of the value of the materials so estimated to have been furnished and delivered by the contractor, and shall monthly pay to the contractor, while carrying on the work, the balance not retained, sums to be kept or retained under the provisions of the contract. No such estimate or payment shall be required to be made when, in the judgment of the City Engineer, the work is not proceedinq in accordance with the provisions of the contract, or when, in his judgment, the total value of the work done since the last estimate amounts to less than three hundred dollars ($300.00). (c) `Final Payment - The City Engineer shall, after the completion of the contract, make a final estimate of the amount of work done thereunder, and the value of such work, and the City of Chula Vista shall pay the entire sum so-found to be due after deducting therefrom all previous payments and all amounts to be kept and all amounts to be retained under the provisions of the contract. All prior partial estimates and payments shall be subject to correction in the final estimate and payment. The final payment shall not be due and payable until the expiration of thirty-five (35) days from the date of acceptance of the work by the City Engineer. Engrg.-SC-18 -18- ~-~t3~ s Measurement and Payment - page 2 Final payment - Continued It is mutually agreed between the parties to the contract that no certificate given or payments made under the contract, except the final certificate or final payment, shall be conclusive evidence of the per- formance of the contract, either wholly or in part, against any claim of the party of the first part, and no payment shall be construed to be an acceptance of any defective work or improper material. The contractor further agrees that the payment of the final amount due under the contract, and the adjustment and payment for any work done in accordance with any alterations of the same, shall release the City of Chula Vista, the City Council, and the Engineer from any and all claims or liability on account of work performed under the contract, or any alteration thereof. Engrg.-SC-19 _lg_ ~-~~75 f ~ SPECIAL PROVISIONS The work embraced herein shall be done in accordance with the appropriate provisions of construction details of the specifications entitled "State of California, Department of Public Works, Division of Highways, Standard Specifications, July 1964," insofar as the same may apply, which specifications are hereinafter referred to as the "Standard Specifications," and in accordance with the following special provisions. The Standard Specifications shall be considered as a portion of this document, as though contained and reproduced herein. Whenever, in the Standard Specifications, the following terms are used, they shall be understood to mean and refer to the following: DEPARTMENT OF PUBLIC WORKS, OR DIVISION OF HIGHWAYS - The City of Chula Vista. DIRECTOR OF PUBLIC WORKS - The City Engineer. ENGINEER - The City Engineer, acting either directly or through properly authorized agents, such agents acting within the scope of the particular duties entrusted to them. LABORATORY - The designated laboratory authorized by the City of Chula Vista to test materials and work involved in the contract. STATE - The City of Chula Vista. Other terms appearing in the Standard Specifications, the general provisions, and these special provisions, shall have the intent and meaning specified in Section 1, Definition of Terms of the Standard Specifications. In case of conflict between the Standard Specifications and these special provisions, the special provisions shall take precedence over and be used in lieu of such conflicting portions. A copy of the Standard Specifications is on file in the office of the City Engineer. Materials paid for by the unit wieght shall be weighed at certified weigh stations. Quality tests for all imported materials shall be performed by a bonded materials testing laboratory in accordance with the procedures as defined in the Standard Specifications for such materials. The costs of such tests shall be borne by the contractor. The exact number of tests shall be determined by the Engineer. Test results shall be submitted to the City Engineer by the laboratory sufficiently in advance of placing ouch imported materials to allow determination of specification compliance by the City Engineer.
