RESOLUTION OF THE CITY COUNCIL OF TfiE CITY OF CHULA VISTA
PROVIDING FOR THE INCORPORATIOIvT OF A NON-PROFIT CORPORATION
TO BE KNOWN AS THE SERRA HGSPITAL OF CHULA VISTA
The City Council of the City of Chula Vista does hereby
resolve as follows:
WHEREAS, for a number of years, the lack of a modern hospital
facility within the Chula Vista metropolitan area and in the South Bay,
providing the full range of medical and surgical facilities, has been a
matter of increasing public concern for the citizens of the City of
Chula Vista and the City Council of the City of Chula Vista, as more
specifically indicated in an attitude survey conducted in June and
July of 1968, and
WHEREAS, the City of Chula Vista, and other public-spirited
entities including the Community Hospital of Chula Vista, Bay General
Hospital of Chula Vista, and the Hospital and Health Facility Planning
Council of San Diego County have, from time to time, studied, reviewed,
and made various proposals looking toward a solution of this critical
issue, including the proposal placed upon tYie ballot in April of 1968
by the City Council of the City of Chula Vista, and
Wi-iEREAS, the City Council of the City of Chula Vista has
approved and proposes to submit to the electorate on November 5, 1968,
a proposition looking toward the formation of a non-profit public
hospital authority by means of a joint powers agreement with the
County of San Diego to acquire, operate and maintain such a modern
hospital facility, serving not only the citizens of the City of Chula
Vista but all citizens in the surrounding communities, and
WHEREAS, various citizens, as individuals and through repre-
sentative groups wltl'11T1 the entire South Bay region have indicated their
desire to support the proposal of_ the City of Chula Vista, provided that
a sound representative and independent icon-profit corporation be estab-
lished to conduct the operation and management of the much needed modern
hospital facility to the end that a comprehensive solution to the hospi-
tal needs of this area in conjunction with and complimentary to the
efforts of_ other private both as to a short-term and long-term outlook
may be achieved through the cooperative efforts of all such groups ar_d
agencies.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City
of Chula Vista as follows:
1. The City Council of the City of Chula Vista proposes to
cause to be incorporated a non-profit corporation under the laws of the
State of California .for the purpose of operating and maintaining a modern
hospital facility, furnishing much needed medical and surgical services
to all of the citizens in the City of Chula Vista and in the surrounding
communities, who may require such service.
2. The Articles of Incorporation of the non-profit corpora-
tion shall include the following matter:
(a) It shall be formed in such a manner so as to insure
that the following purpose shall be carried out:
"The specific and primary purpose for which this corpora-
tion is formed is to acquire, establish, operate and/or
maintain by purchase or otherwise a hospital or hospitals,

sanitor_ium or sanatoria, and to furnish medical and
surgical. attendants therein in anv form in the care
of the sick, afflicted, infirm or injured persons;
and generally do anything and everything necessary,
expedient or incidental to the operation of a hospital
in all its phases, including, but not being limited
to, the establishment, operation and maintenance of a
clinic or clinics for the diagnosis, observation and
treatment of_ patients, the establishment, operation
and maintenance of a nurses' home and/or school for
nurses', the establishment, operation and maintenance
of facilities or an institution for scientific research
as to the causes and treatment of human diseases en-
compassing the entire field of medicine and to utilize
any and all facilities, whether human, animal or mechan-
ical, which may be established by the corporation or
found available to the corporation in any other institu-
tion or institutions, whether public or private and
useful to the promotion of scientific and medical know-
ledge. "
(b) The directors of said non-profit corporation shall
be elected by and appointed by the City Council of the
City of Chula Vista and shall be so elected and appointed
in a manner to insure a broad representation of the entire
community of'Chula Vista and responsive to the needs of_
the public and to no special groups or interests.
3. The City Council hereby directs and authorizes the City
Attorney of the City of Chula Vista to prepare Articles of Incorporation
for the approval of this City Council, and sumbission to the Secretary
of the State of California to achieve said coal.
4. That the City Council of the City of Chula Vista has here-
tofore, on August 20, 1968, c?esicxnated the following persons to be the
initial directors of sa.~~d cor.p~-~ration.
