Vista, lies partl1 wii~hin the CouI~L-y and partly within the City, ar,d WHEREAS, seventy-five per cent of the approaches to said int.er- section are under the juri.Sdi Gt1UI1 of the County, and twenty-five per cent of the approaches to said intersection are under the juris- diction of {.he City; and WHEREAS, the City and County desire to enter into a joint powers agreerncnt for the constructi.an and maintenance of a traffic signal system in this intersection; NOt~ THEREFORI; IT IS MUTUALLY AGP.EED by and bet~~,een the City and County as follows: 1. The County shall prepare plans and specifications for construction of a traffic signal system at the intersection at Third Avenue and Naples Street in the vicinity of Chula Vista. No con- structi.on shall begin, ho:vever, until the plans and specifications for tl-ie traffic si.gnaa_ system have been approved by the City Engineer on behalf of the City al7d by the County Engineer on behaJ.f of the County. 2. The County, prior to comn,encerr;~nt of construction of the above traffic signal system, shall obtain the n~ccessary excavation permits from City rcauired f:or th4~ 4~or1~ to be p^rform~d in the str_ee~: under the City's juriCc?iction. City shal)_ reimburse Coulity for one-quarter. (25 ~) of the total constr_uc-cion cost expend~~ci by County for said traffic signal system and for one quarter (25~j of the cost to County of engineering, de` ign, service ~~nd inspection prior to and during construction of_ said project. Reimbursement pursuant to this Paragraph shall be made within sixty (60) clays following completion and acceptance of said construction. 5. County hereby agrees to maintain, operate and repair the entire installation including the traffic signals, lighting system and advance ~~:arning system, and to pay the cost of power therefor, subject to reimbursement by City as specified in Paragraphs 6, ?, 8 and 9 of this Agreement. 6. County will furnish and perform all routine maintenance and inspection services necessary to keep the facilities specified in Paragraph 5 of this Agreement in satisfactory working condition. Such services shall include the following: patrolling, emergency service, relamping, painting of standards and heads, necessary minor repairs and adjustments, and replacement for routine maintenance purposes of controller equipment, detectors, poles, heads and lamps. County shall supply all necessary spare equipment; provided, hoo-;ever, that installation of addition?.l equipment or facilities shal_1 not be considered routine maintenance under the provisions of this paragraph. A flat monthly rate of Two Dollars and Thirty Cents ($2.30) per signal head shall be paid by City to County for said routine maintenance and inspection. County may adjust said monthly maintenance charge r.nually at the beginn~.ng or each fiscal year; provided, ho~~~ever, that if_ County elects to adjust said charges a_t shall. give C~.ty thirty (30) dayU ~ar.itten notice in advance of the _2_ effectiv~ d~rt.e c>f such ac'.justi;;~~rit. 7. City shall reimburse County `iUr one-quarter (25~} of the costs of labor, parts and equipment used and/or a.ctual]_y expended in performing said extraordinary maintenance. 8. Electrical energy costs f-or said tra.ffi.c signal_ system sh~l be paid by the County; providec4, however, that the City shall. reirnburse County for one-quarter (25~) of the cost of such elec~rical energy. 9. County shall charge anti City shall pay to County an additional amount equal_ to six per cent (6 ~) of the total sum to be paid to County Pursuant to Paragraphs G, 7 and 8 of this Agreement. 10. County shall bill City quarterly for the costs and charges for the preceding quarter due to County pursuant to Paragraphs G, 7, 8 and 9 of this Agreement. Bills for extraordinary maintenance, including both replacement and repair, shall show an itenrizatior: of the costs of labor, parts and equipr~rent used and/or expended in each particular instance. Payment shall be rlade by City to the County Engineer Department within thirty (30) days after receipt of said bills. 11. This Agreement may be terminated at any time after the completion of construction of the traffic signal system by either party upon giving thirty (30) days prior u;ritten notice of intention to .terminate. City shal)_ reimburse County for one-quarter (?.5 ~) of the total construction cost expended by County far said traffic signal system and for• one quarter (25~) of the cost to County of engineering,, design, service and inspection prior to and during construction of said project. Reimbursement pursuant to this Paragraph shall be made within sixty (60) days followinc completion and acceptance of said construction. 5. Country hereby agrees to maintain, operate and repair the entire installation including the traffic signals, lighting system and. advance warning system, and to pay the cost of power therefor, subject to reimbursement by City as specified in Paragraphs 6, 7, 8 and 9 of this Agreement. 6. City shall reimburse Couni~y for one-quarter {25°) of the costs of labor, parts and egtiipn?ent used and/or actually expended in performing said extraordinary maintenance. 8. Electrical energy costs for said traffic signal. system shall be paid by the County; provided, hotaever, that the City shall reimburse County for one-quarter (25~) of the cost of such electrical energy. 9. County shall charge and City shall pay to County an additional amount equal to six per cent (6~) of the total sum to be paid to County pursuant to Paragraphs G, 7 and 8 of this Agreemeni~. 10. County shall bill City quarterly for the costs and charges for the preceding quarter due to County pursuant to Paragraphs 6, 7, 8 and 9 of this Agreement. Bills for extraordinary maintenance, including both replacement and repair, shall sho;a an iten?ization of the costs of labor, parts and equipment used and/or expended in each particular instance. Payment shall be made by City to_the County Engineer Department within thirty (30) days after receipt of said bills. 11. This Agreement may be terminated a'~ any time after the completion of construct:ion of the traffic signal system by either party upon giving thirty (30) days prior written notice of intention to terminate.
