HomeMy WebLinkAboutReso 1968-4762 RESOLUTION NO. 4762 ~- RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND KNIGHT & CLADIEUX, INC., FOR THE DEVELOPMEN'T' OF THE COMPREHENSIVE LONG-RANGE CIVIC CENTER PLAN FOR THE CITY OF CHULA VISTA, APPROPRIATING THE NECESSARY FUNDS, AND AUTHORIZING THE MAYOR TO EXECUTE SAID CONTRACT The City Council of the City of Chula Vista does hereby resolve as follows: That that certain agreement between the City of Chula Vista, a municipal corporation, and Knight & Gladieux, Inc., Management Con- sultants, for the development of the comprehensive, long-range civic center plan for the City of Chula Vista, dated the 14th day of May , 1968, a copy of which is attached hereto and incorporated herein by reference, be, and the same is hereby approved. BE IT FURTiiER RESOLVED that the sum of $28,000.00 be, and the same is hereby appropriated from the unappropriated surplus of the General Fund for the purposes set forth hereinabove. BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of said City. DATED the City of Chula a full, true and same has not been City Clerk ~,-~~~ AGREEMENT FOR THE DEVELOPMENT OF THE COMPREHENSIVE, LONG-RANGE CIVIC CENTER PLAN FDR:THE CITY OF CHULA VISTA THIS AGREEMENT,-=made and entered into this 14th day of MaY 1968, by and between the CITY OF CHULA VISTA, a municipal corporation, hereinafter called "City"; and KNIGHT & GLADIEUX, INC., Management Consultants, hereinafter called "Consultants"; W I T N E S S E T H WHEREAS, the City of Chula Vista desires a comprehensive, long-range civic center plan, containing all necessary specifics and details for the development and implementation of such a plan, to provide for the most effective and efficient location and operation of the civic and governmental functions of the City of Chula Vista, and WHEREAS, the firm of Knight & Gladieux., Inc., Management con- sultants, with offices located at 44 Montgomery Street, San Francisco, California, has heretofore submitted a proposal dated March 8, 1968, indicating the desire of their organization to assist in the development of a comprehensive master plan for expansion of the existing Chula Vista Civic Center complex. NOW, THEREFORE, IT IS MUTUALLY AGREED by and between the parties hereto as follows: 1. The City agrees to employ, and does hereby employ, Consultants to conduct, and Consultants agree to conduct, a study to provide profes- sional consulting services directed towards the development of a compre- hensive long-range civic center plan for the City, the nature aril scope of which are more fully set forth in the Consultants' proposal dated March 8, 1968, a copy of which is attached hereto and made a part hereof. 2. As consideration for the professional services to be per- formed by the Consultants under the terms of this Agreement, the City shall pay the Consultants an amount of money equal to the professional time devoted to the study by personnel assigned by Consultants at their regular hourly billing rates (except as modified by Paragraph 4) as enura- erated below: Category Billing Range Directors $45.00 - $50.00 Principals and Special Consultants $35.00 - $45.00 Associates $25.00 - $35.00 Support Staff $ 4.00 - $15.00 3. The City will reimburse the Consultants for necessary ex- penses incurred after the date hereof, in the performance of this Agreement, which shall include transportatior_ and living costs of members of Consult- .. ants' team while away from their base cities, communications, special statistical tabulations, graphics and report production (except as modi- fied by Paragraph 4). 4. In no event shall the total amount to be paid to Consultants for all of the services to be performed under the terms of this Agreement, including reimbursable expenses as cited above, exceed the sum of $28,000. 5. Payments due under this Agreement shall be made by City to Consultants on the basis of Consultants' monthly statements of reimbursable expenses, as cited in Paragraph 3 above, and monthly statements for pro- fessional services, in accordance with Paragraph 2 above. '1 6. The services to be rendered by Consultants pursuant to this Agreement will commence within thirty (30) days after approval of this Agreement by the City Council and upon execution by the Mayor. Consultants further agree that preliminary reports and studies will be submitted to the City Council on or before August 1, 1968, and the final report, as outlined in the proposal dated March 8, 1968, will be sub- mitted on or before September 1, 1968. 7. The relationship of the Consultants to the City is that of independent contractors, and the Consultants, in accordance with this status as independent contractors, covenant and agree that they will conduct themselves consistent with such status. 8. Consultants agree that they will furnish forty (40) copies of both the preliminary and final report in accordance with the time limits set in Paragraph 7 hereof. It is further agreed that all copies of the report shall become the property of City, and may be used freely by City in such manner as determined by City. 9. Consultants may not assign or transfer any of its interest in this Agreement, or subcontract any of its work hereunder to any firm, perscr~ or corporation not identified in the proposal letter without the written approval of the City.
