RESOLUTION OF THE CITY COUNCIL OF THE CIT`~ OF' CHULA VISTA
APPRO"`JINv AGREEMENT' BETWEEN 'THE CITY OF CHULA VISTA AND
AND ROHR CORPORATION FOR EXCHANGE OF REAL PROPERTY INTERESTS
AND CONSTRUCTION OF NEW SEWAGE LIFT STATION
AND AUTHORTZiNG THE MAYOR TO EXECUTE SAME
The City Council of the City of Chula Vista does hereby
resolve as follows:
That that certain agreement between the City of Chula Vista,
a municipal. corporation, and Rohr Corporation, for exchange of real
property interests and construction of new sewage lift station,
dated the 8th day of July 19 69 , a copy of which
is attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE 3T :FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of said City.

AGREEMENT FOR EXCHANGE OF REAL PROPERTY INTERESTS
AND CONSTRUCTION OF NEW SE4~TAGE LIFT STATION
THIS AGREEMENT entered into this 8th day of July , 1969,
by and between the City of Chula Vista, a Municipal corporation, herein-
after referred to as "City", and Rohr Corporation, a California corpor-
ation, whose address is Foot of "H" Street, Chula Vista, California,
hereinafter referred to as "Rohr";
W I T N E S S E T H
WHEREAS, City has heretofor conveyed certain real property to
Rohr by Resolution No. 4920, approved by the City Council of the City of
Chula Vista on October 1, 1968, 'arid
Vv'HEREAS, a parcel of land approximately 5,000 square feet completely
surrounded by said property thus conveyed to Rohr was retained in fee-
simple title by City and is occupied by a sewage lift station, being an
essential component of the City sewer system, and
WHEREAS, said parcel as more particularly described in Exhibit "A"
attached hereto and incorporated. herein by reference as if set forth in
full, creates an obstacle to the full utilization and development of the
property by Rohr, and
WHEREAS, Rohr agress to replace the sewage lift station at a new
location more convenient to the interests of both City and Rohr, being
a parcel of land more particularly described in Exhibit "B" attached
hereto and incorporated herein by reference as if set forth in full.
NOW THEREFORE in consideration of the premises contained herein
and for other good and valuable consideration, receipt of which is hereby
acknowledged, the parties agree to the exchange of real property as set
forth herein and the following terms and conditions as set forth below.
1. City agrees to sell and convey to Rohr the property described
in Exhibit "A" in fee-simple, free from encumbrances.
2. Rohr agrees to sell and convey to City an easement for the
purposes set forth herein over that property described in Exhibit "B"
and an additional easement as more particularly described in Exhibit "C"
attached hereto and incorporated herein by reference as if set forth in
full, to provide means of ingress and egress from Tidelands Avenue to
the parcel described in Exhibit "B".
3. For the purpose of this contract,property owned by the City
is valued at the sum of $5,000.00 and the easement to be granted by
Rohr is valued at $1,000.00. The difference of the value of the equities
of the parties of this agreement shall agree to be the sum of $4,000.00
which latter sum shall be paid to the City through the materials and
services rendered by Rohr in the installation of the new sewage lift station
4. Said parcel described in Exhibit "A" will be conveyed to
Rohr by City free of all encumbrances at such time as the new sewage lift
station has been completed and is in operation.
5. The easements as contained in Exhibit "B" and "C" shall be
conveyed to City at such time as said sewage lift station is completed and
in operation.

6. The installation of said sewage lift station shall be subject
to the supervision and approval o.f the Director of Public Works of the
City of Chula Vista. Said sewage lift station shall have a capacity of
1,200 gallons per minute with alternating pumps and provisions for an
addition of a third pump of equal size.
7. Rohr agrees to install the following equipment at sole cost
to Rohr and such other accessory equipment as shall be approved by the
Director of Public Works.
2 each - GORMAN-RUPP MODEL T6A3-B, 6"x6", standard fitted,
self-priming, non-clog centrifugal pumps; specifically designed
for the handling of raw sewage. Pumps are capable of pumping
1,200 GPM at 50' TDH, and passing 3" minimum spherical solids in
both the pumping chambers and priming chambers. Pumps equipped
with ductile iron; non-clog impellers, steel wear plates, impeller
inspection plates, oil-lubricated double floating self-aligning
mechanical seals with tungsten titanium carbide rotating and
stationary faces, oil-lubricated ball bearing power frames.
Pumps mounted on bases and flexible coupled with guards to 30HP,
1750 RPM, 230/460 volt, 3 phase, 60 cycle, open drip-proof
Lincoln motors with encapsulated windings.
Rohr further agrees to provide City with the following spare parts:
1. 2 Each - Wear Plates
2. 1 Each - Impeller
3. 2 Each - Seal
4. 2 Each - Sets of Bearings
S. 1 Each - Shaft
6. 2 Each - Shaft Sleve
8. City grants to Rohr the full salvage rights to any and all of
the equipment located on the existing sewage lift station site in Exhibit
"A" that Rohr may need for use in the construction and installation of the
new sewage lift station, provided that all parts of the existing lift
station not so needed or used, shall be removed by the City for use by City.
9. It is further agreed that any necessary disruption in the
service provided by the sewage lift station as a result of the instal-
lation of the new station at the new location, shall be done when the
sewage is at low flow periods and subject to the authorization of the
Director of Public Works of the City of Chula Vista.
10. That parcel described in Exhibit "C" shall be used by City
for an easement for permanent access to the new sewage lift station
site described in Exhibit "B" and may be fenced by Rohr but ingress and
egress provided, shall not be subject to clearance by Rohr but shall be
freely guaranteed so as to provide free access to City as required for
maintenance and repair or additional construction on said new sewaq_e
lift station site.
11. Within thirty (30) days after execution of this agreement
each of the parties hereto shall deposit in escrow as selected by City,
all papers and documents necessary to consummate said exchange with
instructions to consummate in accordance with this agreement.
12. Possession of and interest in all property, real or personal
covered. by this agreement shall be delivered by each party to the other
upon the close of escrow.

13. Risk of damage of any cost o.f_ the respective parties prior
to the close of escrow is assumed by thegrantor of each of the prop-
erties respectively.
THIS AGREEMENT shall bind and inure to the benefit of the
heirs, executors, administrators, successors and assigns of the parties.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement this 8th day of July 196'9'.'`
