hereinafter called "Buyer";
W I T N E S S E T H
4`7HEREAS, the C1ty Of Chula V1Sta. 15 the OWr.er Of Certalri rec'.l
property hereinafter described, being a parcel of record located in the
City of Chula Vista, County of San Diego, State of California, described
as a lot, or a portion of a lot or lots of -record, and
GIuEREAS, Seller, the City of Chula Vista :wishes to sell_ and
Buyer, The Pacific Telephone and Telegraph Company wishes to purchase
said real property to be used for the purpose cf constructing and oper-
atir.g a ?.0,000 square foot one-story building to serve as a new ~'raffic
Operating Center. Said improvement to involve an estimated eight hundred
thousand dollar ($800,000) investment, and the activit~% to employ an
ultimate of 250-300 people, and
WHEREAS, the parties hereto have reached an agreement which
they now wish to reduce to writing.
NOW, THEREFORE, IN CONSIDERATION OF TEiE FREMISES contained
herein and for other good and valuable consideration, receipt of
which is hereby acknowledged, the parties hereto agree as follows:
1. Seller agrees to sell, and Buyer agrees to purchase that
certain real property situate in the City of Chula Vista, County of San
Diego, State of California, more particularly described as follows:
All these portions cf Lcts E and 11 in Quarter Section
140, Rancho de la Nacion, in the City of Chula Vista,
County of San Diego, State of California, according to
Map No. 505, filed in the Office of the County Recorder
of San Diego County, :larch 13, 1888.
2. The purchase price therefor shall be the sum of t~,~o
hundred and thirty five thousand dollars ($235,000).
3. Buyer has heretofore deposited the sum of eleven thousand
sever. hundred fifty dollars ($11,750) with the Finance Officer of the
City of Chula Vista and Buyer agrees to deposit the balance of the
purchase price, being the sum of two hundred taer_ty three thousand
two hundred fifty ($223,250), upon issuance of a policy of title in-
surance sho~•;ing title vested in The Pacific Telephone and Telegraph
Company through an escrow established to provide for the transfer
of title to said property upon the approval cr this agreement by the
City Council of the City of Chula Vista and the autriorized representative
of The Pacific Telephone and Telegraph Company. Buyer and Seller agree
that a thirty (30) day escrow period would be desirable. Seller agrees
to share allrrormal costs of escrow ar_d to provide a good and valid
title policy for said property, the cost of which Bu~.;er and Seller agree
tc share on a fifty-fifty basis.

,.. The terms and conditions to be included in the escrow
instructior..> shall be. as follows:
_ (~.) Said escrow shall he terminated and said. property
transferred and funds disbursed as stipulated hereinabove
~~~ithi_n thirty (30) days of the establishment of said escrow.
(b? Tlie sale shall be subject to and conditioned upon
Buyor's apr_roval of soil tests of the subject property,
which tests shall show tl:e capability of the property
to be use-d for the purposes desired by Buyer.
(c) The City of Chula Vista shall secure the rernovai
of the restrictive parking covenant and the termination
of the t~4utual Parking Agreement with the Bank of America
ever the north~~aest 100 x 150 feet of the subject property.
(d) The City of Chula Vista shall covenant and does hereby
agree that Buyer, The Pacific Telephone and Telegraph
Company, shall assume no obligation nor shall any require-
ment be imposed for the improvement in any manner of the
existing drainage channel provided, however, that this
agreement shall in no way relieve the Buyer from the
obligations and responsibilities imposed by the ordinances
of the City of Chula Vista regarding the maintenance of
drainage channels to the extent of keeping said channels
free and clear of obstruction. It is further understood
and agreed that if Buyer should during the course of
construction of the proposed facility encroach upon. said
drainage channel, that Buyer will comply with the ordi-
nances of the City of Chula Vista and be subject to the
requirement of improving said channel in accordance
therewith. It is further understood and acr,reed that
this covenant and agreement shall in no way relieve
Buyer from any obligation for participation in or
assessment for under any lawful improvement procedures
the cost of improving said drainage channel in accordance
with the policies and standards of the City of Chula Vista,
should such proceedings be instituted in the future.
(e) Buyer further agrees to hold City harmless from any
and all damage to the real property arising as a result
of flooding because of any inadequacies in the existing
drainage facility.
(f) Buyer agrees to grant to the City of Chula Vista
an easement over said drainage course. Seller agrees
to assume the full cost of any required surveying or
staking of said easement.
(g) The City of Chula Vista hereby covenants and stipu-
lates that said property is located i.n the C-T, Commercial
Thoroughfare zone, which zoning permits the use desired
by Buyer, i.e., a Traffic Operating Center.
5. This agreement shall bind, and inure to the benefit
of the heirs, executors, administrators, successors and assigns of
the parties hereto.
