RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA
APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND
THE CHULA VISTA CHAMBER OF COMMERCE FOR ADVERTISING AND
PROMOTIONAL SERVICES FOR THE 1967-68 FISCAL YEAR
AND AUTHORIZING THE MAYOR TO EXECUTE SAME
The City Council of the City of Chula Vista does hereby
resolve as follows:
That that certain agreement between the City of Chula Vista,
a municipal corporation, and the Chula Vista Chamber of Commerce for
advertising and promotional services for the 1967-68 fiscal year,
dated the ~jt, day of~pTirnb~'Y , 19~, a copy of which
is attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE I'P FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for. and. on behalf of said City.

AGREEMENT WITH THE CHULA VISTA CHAMBER OF
COMMERCE FOR ADVERTISING AND PROMOTIONAL
SERVICES FOR FISCAL YEAR 1967-68
/ THIS AGREEMENT, made and ent@red into this jz jj day of
S'rhlrCinb~'t~ 1967, by and between THE CITY OF CHULA VISTA, a
munici. al corporation, hereinafter called "City" and the CHULA VISTA
CHAMBER OF COMMERCE, a non-profit corporation, hereinafter called
"Chamber",
W I T N E S S E T H
WHEREAS, the City of Chula Vista desires to engage the
services of a qualified advertising agency, operating as a civic non-
profit organization, to promote and advertise the City of Chula Vista
in the manner set forth herein, and has heretofore appropriated funds
for such purposes, and
WHEREAS, the Chamber of Commerce of the City of Chula Vista,
by virtue of its special knowledge, experience and facilities available
for promotion, entertaining and advertising work, and because of its
broad base in community business, is especially qualified to act as
such an advertising agency for and on behalf of the City of Chula Vista.
NOW, THEREFORE, in consideration of the premises, and for
other good and valuable consideration, receipt of which is hereby ac-
knowledged, the parties hereto agree as follows:
1. Chamber hereby agrees during the term of this contract
to receive and entertain public guests of the City; to advisO the City
Council of opportunities to advertise and promote the community; to
develop and advise the City of needed public improvements leading to
the betterment of the community; to promote a friendly spirit among
the merchants of the community and between the merchants and the gen-
. eral public; to design, print, publish and distribute pamphlets and
other printed matter; to stimulate business and employment opportunities
within the community; to induce the immigration of industry, mercantile
establishments and population to the City; to assist in public celebra-
'v tions held by the City; to exhibit agricultural and industrial products
' of said City; and generally, to advertise and promote the City of Chula
Vista, all in the public interest and in the manner herein provided.
Said projects and the amounts designated and allotted for each separate
project are shown on Exhibit "A" attached hereto and by this reference
made a part hereof.
2. The term of this agreement shall be from the 1st day of
July, 1967, to and until the 30th day of June, 1968.
3. The services to be performed by Chamber shall be those
listed in said Exhibit "A", and designated as public reporting and
advertising, public reporting and contributions (Jr. Chamberof Commerce),
and special events. All of the services designated in the catagory of
public reporting and advertising shall be performed during theterm of
the contract without specific direction from the City and for the com-
pensation as shown in said Exhibit "A" in the sum of TWENTY-FIVE THOU-
SAND, NINE HUNDRED FORTY-TWO AND NO/100 DOLLARS ($25,942.00). Said
total sum shall be paid to Chamber in twelve (12) equal installments
payable on the first day of each month, commencing July 1, 1967, and
terminating June 1, 1968.
4. In addition to said services designated as public report-
ing and advertising, Chamber also agrees to provide for those advertis-
ing facilities set forth in said Exhibit "A" under the heading of
special events. City agrees to pay to Chamber the sum of FOUR THOUSAND,
FIVE HUNDRED NINETY-ONE AND NO/100 DOLLARS ($4,591.00), provided that
Chamber shall, prior to the expenditure of any of said funds, appear

before the City Council and offer a detailed report of the manner in
which monies from said fund are to be expended and receive the author-
ization of the Council in each case by minute action.
5. Chamber further agrees to provide certain services for
and on behalf of the City designed to promote and advertise the City,
which are not designated in said Exhibit "A". Said extraordinary
services shall be undertaken at such times as the City Council shall
request the performance of specific services from the Chamber. The
Council shall request that the Chamber prepare and present for the
approval of the Council a plan or advertising, entertainment, or other
suitable proposal to carry out the desired objective set forth by the
Council. Chamber also agrees to make recommendations to the Council
of certain services over and above the items listed in Exhibit "A" and
present these to the Council for their consideration and approval.
City agrees that Chamber may proceed with the execution of plans or
proposals as approved by the City Council and shall be entitled to
additional compensation therefor as provided herein. A11 such plans
and proposals are subject to modification by the Council at any time
and Chamber agrees to immediately cease activities on any proposal at
such time as the Council shall direct. City agrees that Chamber has
the option of refusing to undertake a plan or proposal except for those
proposals set forth in Exhibit "A". City agrees to pay the Chamber
for said services, in addition to the actual cost of the services, the
cost actually incurred by Chamber in executing said plan or proposal,
which sum shall not exceed by more than ten percent (108) the estimated
cost of such plan or proposal as approved by the City Council. It is
further understood and agreed that no part of any sum paid by City to
Chamber as reimbursement for unusual or extraordinary services shall be
used by the Chamber to pay the salaries of officers of the Chamber, or
any of the overhead of the Chamber.
6. All monies due Chamber under this contract shall be paid
upon demand as presented, and all demands for those services set forth
in Exhibit "A" or any additional or extraordinary services shall be
supported by a monthly financial report from the Chamber showing the
amount expended or the liability incurred forming the basis for such
claim. Except as set forth in Exhibit "A", Chamber shall be entitled
to payment only for the expense actually incurred by it in carrying out
any plan or proposal, and shall not receive compensation for its own
services as such.
IN WITNESS WHEREOF the parties hereto have caused this Agree-
ment to be executed the day and the year first hereinabove set forth.
