RESOLUTION NO. 4523
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA
APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND
MR. RAYMOND HOLT, LIBRARY CONSULTANT, TO PREPARE A FEASIBILITY
STUDY AND BUILDING PROGRAM FOR THE CHULA VISTA PUBLIC LIBRARY
AND AUTHORIZING THE MAYOR TO EXECUTE SAME

LIBRARY CONSULTANT AGREEMENT
THIS AGREEMENT, made and entered into this 15th day of
August 1967, by and between the CITY OF CHULA VISTA, a munici-
pal corporation, hereinafter called "City", and RAYMOND M. HOLT, 1841
Westwood Place, Pomona, California 91767, a Library Consultant, here-
. inafter referred to as "Consultant".
W I T N E S S E T H
WHEREAS, the City desires to retain an expert Library Con-
. sultant for the purpose of providing a feasibility study, including a
detailed analysis of library needs for the City of Chula Vista and
the development of a library building program and assistance during
the preparation of schematics, cost estimates, and development of
working drawings for the construction of a library for the City of
Chula Vista, and
WHEREAS, Raymond M. Holt, qualified Library Consultant, agrees
to serve as a Consultant to the City of Chula Vista in the planning and
construction of a new public library building for the City of Chula
Vista.
NOW, THEREFORE, it is mutually understood and agreed by and
between the parties as follows:
1. That Consultant will perform the work as set forth herein
in three phases for the amounts as agreed upon herein and for the com-
- pletion of each phase as provided.
2. Said work of the Consultant will be accomplished in the
following phases:
PHASE I Feasibility Study
A. During Phase I the service of the Consultant will be de-
voted primarily to making a feasibility study involving the
following:
1. A review and study of all pertinent information,
prior studies, and other written materials related to
the future requirements of the Chula Vista Public
Library.
2. Consultation with the City's Planning Department and
others as may be appropriate such as school officials,
and Chamber of Commerce officers.
3. Consultation with the City's Librarian, library
staff and Library Board of Trustees.
4. On the basis of the information thus gathered, de-
termine the basic characteristics of Chula Vista's
future library needs as they relate to the need for a
new library building.
5. Inspect and weigh against accepted location criteria,
various potential library building sites.

6. Advise the Library staff, Library Board of Trustees
and any others involved in structuring a program to
support a successful library bond issue.
7. Submit a typed copy of a final report summarizing
the findings and recommendations of the items of Phase
I on or before October 15, 1967.
S. Review the above feasibility report with appropriate
City and library officials.
B. As part of Phase I, the Consultant will make such trips
- to Chula Vista and remain for such periods of time as he
deems necessary for carrying out the objectives of Phase I,
but not to exceed five trips or said trips shall not exceed
five in number, or a total of seven days including one trip
to make the official presentation of the feasibility study.
C. For the services rendered under Phase I of this program
the fee would be $1,500.00 remitted as follows:
1. A retaining fee of $500.00 shall be due and payable
upon the approval of this agreement between the City of
Chula Vista and the Consultant.
2. A payment of $1,000.00 shall be due and payable at
the time the feasibility report is submitted by the Con-
.. sultant.
PHASE II Library Building Program
A. The Primary objective of the Phase II is to create a
building program for the use of architects in planning a
new library building for Chu 1a Vista. Included also are
several related and continuing concerns. During Phase II
the Consultant will:
1. Prepare a written building program setting forth the
requirements of the library in terms which will provide
4~' guidance to the architect in designing a functional li-
brary building equal to the foreseeable library needs
of the people of the City of Chula .Vista.
2. Assist, if asked, in the selection of a competent
architect.
3. Submit a typed copy of the building program on or be-
fore December 15, 1967.
4. Review the building program with appropriate library
and City personnel.
5. Review the building program with the architects.
6. Study any preliminary space and cost analysis made
by the architects and submit comments and recommenda-
tions to the appropriate officials.
7. Continue advisory assistance to those concerned with
the library bond campaign.

B. As part of Phase II the Consultant will make such trips
to Chula Vista and remain for such periods of time as he
deems necessary £or carrying out the objectives o£ Phase II
but said trips shall not exceed five in number or a total
of five days including one trip to make the official pre-
sentation of the building program.
C. For the services rendered under Phase II of this program
the fee would be $2,500.00 remitted as Follows:
1. A retainer o£ $500.00 shall be due and payable on or
before October 15, 1967, marking the beginning of Phase
II activity.
2. The sum of $1,500.00 shall be due and payable at the
time the written building report is officially submitted.
3. The remaining $500.00 allocated for distribution
under Phase II shall be due and payable on or before

PHASE III Schematic and Working Drawing Preparation
A. The purpose of Phase IIZ is to provide an opportunity
for the Consultant to work closely with those involved in
the actual prepe ration o£ plans For the new library build-
ing including the library sta££, City personnel involved
in the project and architects. It is understood that this
portion of the program will not be activated until the li-
brary building program has been funded. Consultant services
to be rendered under Phase III include:
1. A review of the basic space analysis and space re-
lationship studies as made and submitted to the Con-
- sultant by the architects; a statement containing ques-
tions, comments, suggestions for change will then be
submitted.
2. The schematic plans, as submitted to the Consultant
by the architect will be reviewed and returned with a
statement containing questions, comments and suggestions
for change.
3. The Preliminary plans, as submitted to the Consul-
tant by the architect, will be reviewed and returned
with a statement containing questions, comments, and
suggestions for change.
4. The working drawings, as submitted to the Consultant
by the architect, will be reviewed and returned with a
statement consisting of questions, comments, and sug-
gestions for change.
5. The bid documents including a complete set of draw-
ings and the material specifications will be reviewed
prior to bidding and a statement returned containing
questions, comments, and suggestions for change.
_ 6. Informal consultation with the library staff, archi-
tects and other City personnel regarding the selection
and purchase of library furnishings and equipment.

B. As part of Phase III the Consultant will make such trips
to Chula Vista and remain for such periods of time as he
deems necessary for carrying out the objectives of Phase III,
but said trips shall not exceed three in number or total
more than three days.
C. For the services rendered under Phase III of this pro-
gram, the fee would be $1,000.00 remitted as follows:
1. The sum of $350.00 shall be due and payable at the
time the written statement containing questions, com-
ments and suggestions for change is submitted on the
schematic plans.
2. The sum of $350.00 shall be due and payable at the
time the written statement containing questions, com-
ments and suggestions for change is submitted on the
working drawings.
3. The sum of $300.00 shall be due and payable on the
date that the call for bids for the new library build-
ing is issued.
3. Miscellaneous Provisions and Conditions:
A. Unless otherwise informed, the Consultaa~ shall;,;a.~s:!der
the City Librarian to be the official r.~presentative di the
City of Chula Vista and shall direct all cffS.cial correspon-
Bence and reports to that office; copie-s of correspondence
and communications to other individuals including the archi-
tects shall also be filed with this office.
B. This agreement may be amended by mutual consent of both
parties at any time to provide for additional services at
such compensation and terms as may be agreed upon.
C. This agreement may be terminated upon 30 days written
notice by either party; an equitable settlement would then
be made based upon services rendered to the date of termi-
nation.
D. The responsibility of the Consultant in checking the
architects' plans, drawings, building specifications and
all other documents shall be limited to those elements which
affect the functioning of the building as a library.
E. All reports, maps, architectural drawings, plans or
other materials which is the property of the City of Chula
Vista and related to this project shall be made available
to the Consultant for his use without fee or cost.
F. The preparation and writing of specifications for li-
brary furniture, and equipment is not a responsibility of
the Consultant.
G. A single typed copy of the feasibility study, and the
library building program and such other statements asmay
be necessary will be submitted by the Consultant to the City
Librarian or other designated official representative of
the City; additional copies may be made by the City and dis-
tributed as needed provided that the Consultant's name
appears as author on each and provided that one or more
copies of both the feasibility study and the library build-
. ing program is sent to the appropriate depositories at the
California State Library, Sacramento, and the American Li-
brary Association, Chicago.

H. One copy of the complete set of working drawings and
building specifications shall be furnished the Consultant
and shall become his property.
I. The terms of this agreement set forth the number of
trips and the amount of time in Chula Vista that the Consul-
;~ tant believes will be necessary to accomplish the objectives
of this agreement. Should additional trips be deemed neces-
sary by the client and agreed to by common consent, addi-
tional compensation shall be paid to the Consultant at the
rate of $25.00 per trip plus $100.00 for each day or any
portion thereof, said payment being due and payable within
ten days of the making of such a trip.
J. Should the Consultant be requested by the client to go
to points in Southern California other than Chula Vista, he
shall be reimbursed at the rate of ten cents per mile for
travel plus $100.00 for each day or portion thereof, said
payment being due and payable within ten days of the com-
pletion of any such trip.
K. Payments shall be made within ten days of the date upon
which they become due and payable according to the schedule
set forth in this agreement.
L. It is understood that the services of the Consultant
will be scheduled so as not to interfere with his duties as
Librarian of the Pomona Public Library, provided that, sub-
ject to such. duties, the Consultant will exert his best
efforts to be available as needed under the terms of this
agreement.
IN WITNESS WHEREOF the parties hereto have executed this
agreement the day and year firsthereinabove set forth.
