WIT;~'ESSETH i':-~i;Rr,AS, the Ci;:y and the County desire to enter into a joint cooperative agreement to construct Palomar Street (SC 2260) from approximately 1500 fee-t east of Melrose Avenue in Chula Vista, easterly to an intersection of Oleander Avenue if extended northerly from the City of Chula Vista, and the construction of Oleander Avenue Extension from the above intersection to the exisi~ing roadway on the south within the City of Chula Vista, a total distance of approximately 0.4 miles, and WHEREAS, the City and the County desire to proceed with the construction of said improvement, and to share i.n the cost of such construction. NOS~1 THEREFORE, IT IS AGaEED by and between the City and the County as follows: 1. The City and the County shall cause to be constructed that portion of Palomar Street from approximately 1500 feet e~;st of Melrose Avenue to the inter- section of Oleander Avenue - if extended, and that portion of Oleander Avenue Extension southerly to the existing road~:ay in the City of Chula Vista. The por- e tions to be constructed are the areas agreed to be within the jurisdiction of the City and the County and are more particularly described and depicted on Exhibit trptf hay"et0 attachod, and hereby mado a part Cf this .;oreement. The approximate length cf the improvement within the City is 0.25 miles and the County's portion of the proposed iriprovement is appxoxirnately 0.15 miles. ~ ~")~~f~~c~ 3. That the distribution of the ~~,ork and the responsi_l;ilitj- therefor arc as fcllo~.s a. The City will design and prepare plans and specifications for t:e project. b. The City ~•:ill provide all inspection and contract management services. c. The City ~:~ill pe~iorm all materials engineering necessary to determine a suitable structural section and provide control testing during the const?~I:ctic: for the project as depicted on Exhibit A. d. All costs incurred by the Cit,° for preliminary engineering; desi~I:; and construction engineering expenses, inspection, and contract management sei-~>ices, shall be shared by the City and County. The County shall reimburse the CitD> for its proportionate share based on the percentage of construction costs of the improvements within its jurisdiction, as shorn on Exhibit A, whether or not subsequent annexation alters said jurisdiction. e. The County shall reimburse the City for its share of the construction costs of the improvement in accordance with Section o of this Agreement. 4. In the event right of `',ay must be purchased or conder:nZed, it ti,>ill be the responsibilit3- of the agency in whose jurisdiction the property is located to acgaire the necessary right of ~,>ay within its jurisdiction, provided, hot,•ever, that the City; shall reirburse the County for necessary right of way purchased or condemi-Ied by the Count~> which is part of a parcel of real proper ~y presentl~% ~,~ithin the County's jurisdiction, if the parcel has been annexed by the Cit% prior to acquisition, as evidenced by recordation of a final Order of Condemnation, Crant Deed, or Deed of Easement for such right of tiaay. 5. After bids for the improvem:e?.t have been received and opened by the City , ar?d prior to the ai•;ard of any contract for said improve.^:;ent by the Cit/.-, the Cit, shall notify the Count; of the lo~,~est -responsible bid. If the contract cannot be a~~ar.ded, the Count-}- wiil reimburse the City% for its share of engineering. The City ~,aill fur-.Zish the County a reproducible set of plans and specif-icati.ol:s fen :its use at a future date. 6. .After appro•:~al b}- the County of the responsible lo~a bidder prior to the award of co~aract, t;e Coun~}> shall deposit faith the ;ity for the improvements the County's share of the total CO:,Strl1Ct10n COSts of said improvement. The County's share of the total. construction costs laii.l be computed on the basis of unit price bid for the L,.proveme:~t ~,rithin its jurisdiction as shoFm on Exhibit A hereto attached; whether or not subsequent annexation alters such jurisdiction between the date of its Agreement and the a~r~ard of the contract. 7. After the final dete>_~rrlination of construction costs including utility relocation, if such there be, the City will apply any excess construction cost deposit to the County's share of engineering and contract management costs. If there is a deficiency- in the Count~~'s const~~ICtion cost deposit, it will be added to the County's share of engineering to accomplish the sharing of costs hereinabove provided. Final payment is due and pa}able upon receipt of a bill from the City. 8. Those portions of the roadzaay tc be const~.-ucted by the Cit}- and the County shall be designed fora minimum 28-foot wide paved roadway. All plans and specifications for the portion of the said improvement to be constructed by the City and the County ;pill be approved by the County Engineer on ' behalf of the County and by the City Engineer on behalf of the City.
