RESOLUTION NO, 5640
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA
ACCEPT7~NG GRANTS OF EASEMENT' FROM SAN DIEGO & ARIZONA
EASTERN RAILROAD IN CONJUNCTION WITH I-5 WIDENING
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that those certain grants
of easement for the widening of I-5
executed by San Diego & Arizona Eastern Railroad
copies of which are attached hereto and by this reference made a
part hereof, the same as though fully set forth herein be, and the
same are hereby accepted by the City of Chula Vista for the widening
of I-5.

1. That Railroad hereby grants to Grantee the right to construct, reconstruct, maintain and use a street or
highway, hereinafter termed "highway," upon and across the real property described on the attached Exhibit "A."
2. The rights herein granted are expressly limited ti°altically and sl:aL not extend bey>ond a mare parallel with and
twenty {20) :act above the road,;•ay surface c. the high=n-ay as erigina.'ly constructed, except that li;hti-,;- fixt~_res and
similar highway appurtenances may extend above said plane; provided that rnv such faciiitias will be removed cr raar-
ranaed vrthin thirty (30) days alter notilcation fror.~ Raurcad that such `acuities interfere wish Railroad's interdcd use
of the space above said plane.
3. This grant is sub;ect and subordinate io ti: prior rig:t of Railroad to use ail the property described ir. the
performance of its duty as a common carrier, and there is reserved unto Railroad the right to construct, reconstruct,
maintain, use and remo-: e e~.istia~g and future, railroad, trans7;oriatio ;, co:nrr.~u~ication and pipeline facili±ies and at'-
purtenancas in, upo^., over, un:]er, across or along ;aid nropP~-ty. In event trac•itis are ramored fron, said proper`y, ?~a,i]-
ro&d shall not be obi gated to make any charge in the ~ ado of said h'_ghtvay.
^lhis grant is subject to aL' licenses, leases, easements, re_trictions; conditions, cover_ants, encurribrances, liens
and claims of tit'e which rr_ay a:4a;~i s-:id property, and the •.vord "grant" shall nGt be construed as a covenant agailist
the existence thereof.
4. The rights erein granted shall lapse and become void if the construction or reconstruction of said highway
is not commenced wiihil: one (1), year from the da±e first herein yti-ritten.
5. This grant s'rall r_ot be construed as conveying or otherwise vesting ir_ Grantee the right to install or to au-
thorize the installation of any diiches, pipes, drains, server or undergro~_lnd strictures, or the facilities of al:y tee-
graph, te1_ephone or electric power lines lr., upon, over, under, across or along said property, except as necessary for
maintenance of said highway.
6. Grantee shall obtain ary necessary govarn~:ler.tal aut'r_cr~ty to construct reconstruct, maintain and use sairi-

(2) feet outside the rails of each track located thereon. Should Railroad abaildor. tracks leading to sal? blob,„ay, Rail-
road may abandon i±s ••ails, ties and appurtenant ~i:aterials ar_d leave the same ir_ place. In such event, Rail oad shai'_
not be L•'able for maintenance of the portion of said highway specified above.
8. ~s part consideration herefor, Grantee agrees to pay Railroad an arlonnt equal to all assessments levied by

continued or abandoned. L'pon termination of the rights hereby granted, Grantee agrees to remove said highZVay, in-
cluding file paving, from said property of Railroad, io restore saiu property as nearly as practicable to the same state
and condition in tvhici: it e.~isted prior to the construction of said hignwa_v, and to bear the etiper_se thereof. Should
Grantee in sneh event fail, reglcct or refuse to so remove said hig'rway and restore said property, such removal and
restoration may be performed by Railroad, at the expense of Grantee, which expense Grantee agrees to pay to Railroad
upon demand.
].G. Should Railroad remove or abandon in place all of its facilities at said location and Railroad no longer desires
to retain interest in said property, Grantee shall be required to purchase Railroad's interest in said proper`~y at the
then fair mariiet value.
11. This indenture shall inure to the benefit of and be binding upon the successors and assigns of the parties
hereto.

10. Should Grantee, its successars or assigns, at any time aban-
don the use of said property cr any part thereof, or fail at any tit~~?
