This AGREE?~."~-?~'T executed this da}% of , 1970, by and
between the CITY OF CYtiLA 1'ISTA; a municipal corporation, hereinafter called the
City, and the COUtiTY OF SAN DIEGO, apolitical subdivision of the State of
Califoz-nia; hereinafter called the County.
[i' ITNES SETH
[dHEREAS, the intersection of Third Avenue and Quintard Street, located in
the vicinity of Chula 1%ista, lies partly laithin the County and partly ~~ithin the
City, and
[,'HEREAS, seventr~-five percent of the approaches to said intersection are
under the jurisdiction of the County, and tiaenty-five percent of the approaches
to said intersection are under the jurisdiction of the City; and
[vHEREAS, the City and County desire to enter into a joint powers agreement
for the construction and maintenance of a traffic signal system in this inter-
section; NO[v THEP.EFORE
IT IS :~IdT'UALLY AGREED by and between the Ci-Ly and County as follows:
~' 1. The County shall prepare plans and specifications for construction of a
traffic signal system at the intersection at Third Avenue and Quintard Street in
the vicinity of Chula Vista. No construction shall begin, however, until the
plans and specifications for the traffic signal system have been appro~~ed by the
City Engineer on behalf of the City and by the Counts- Engineer on behalf of the
County.

signal system, shall obtain the necessary exca~,~ation pez-mits from City required
for the ~~rork to be performed in the street under the City-'s jurisdiction. The
City shall expedite and issue the necessary exca~,-anon permits without charge to
the County„

3, County shall provide and pa}% for all engineering design, sen~ice and
-inspection to be performed prior to and during the construction of said project,
and County° kill pay all construction costs of the project; provided, ho~ae•,-er, that
City shall reimburse Court3- as specified in Paragraph 4 of this Agreement.
4. City shall reimburse County for one-quari:er (25~) of the total construction
cost expended by County for said traffic signal system and for one-quaz-ter (^_5;~) of
the cost to Coun~~ of engineering, design, service and inspection prior to and
during constz'action of said project, Reimbursement pursuant to this Paragraph shall
be made withir. sixty (60) days following completion and acceptance of said construction.
5. County hereb;,~ agrees to maintain, operate and repair the entire installation
including the traffic signals, lighting system and advance warning system, and to
pay the cost of power therefor; subject to reimbursement by City as specified in
Paragraphs 6, 7, 8 and 9 of this Agreement.
6. Co'anty will furnish and perfor*n all routine maintenance and inspectior.
services necessary to keep the facilities specified in Paragraph 5 of this Agree-
ment in satisfactory working condition, Such sereices shall include the following:
patrolling, emergency service, relamping, painting of standards and heads, necessar-~~
minor repairs and adjustments, and replacement for routine maintenance purposes
of controller equipment, detectors, poles, heads and lamps. County shall supply
all necessary spare equipment; provided, however, that installation of additional
equipment or facilities shall not be considered routine maintenance under the
provisions of this paragraph. A flat monthly rate of Two Dollars and Thirty Cents
($2,30) per signal head shall be paid to City by County for said routine main-
tenance and inspection. County may adjust said monthly maintenance charge annually
at the beginning of each fiscal year; provided, however, that if County elects to
adjust said charges it shall give City thirty (30) days written notice in advance
of the effective date of such adjustment,
7, County shall perform all e;araordinary maintenance ser-~>ice, including
replacement and/or addition of major equipment required because of obsolescense,
wear or inadequacy, and repair of extensive damage due to vandalism, collisions,
or any other cause, City shall reimburse County for one-quarter (25`0) of the
costs of labor, parts and equipment used and/or actually expended in perfor-raing
said eYtraordinarv maintenance.

8, E]_ectrical energy costs for said traffic signal system shall be paid by the
County°; provided, however that the City shall reimburse County for one-quarter (25,`.;)
of the cost of such electrical energy.
9. County shall chazbe and CitS~ sha]_1 pay to County an additional amount equal.
to six percent (6,") of the total sum to be paid to County pursuant to Paragraphs 6,
7 and E of this Agreement.
10. County shall bill City quaz~erl}- for the costs and charges for the
preceding quarter due to Count}- pursuant to Paragraphs 6, 7, 8 and 9 of this
Agreement. Bills for extraordinazy maintei7ance, including both replacement and
repair, shall show an itemization of the costs of labor, parts and equipment used
and/or expe~.ded in each particula?° instance. Payment shall be made by City- to the
County Engineer Depaz-tment within thirty (30) days after receipt of said bills,
11, This Agreement may be terminated at any time after the completion of
construction of the traffic signal system by either party upon giving thirty (30)
days prior written notice of intention to terminate.
IN ~~~ITi~'ESS ~dHEREOF this Agreement is executed by the County of San Diego
pursuant to action taken by the Board of- Supers isors and by the City of Chula
Vista pursuant to action taken by its City Council.
