resolve as follows:

1. In the event that the future. use 'or' alteration of

thereto shallat.any time or times necessitate a.rearrangement, re-
l.ocation or reconstruction of any of the Company's facilities or the,
acquisition of additional property. easements, o~ both, ,pursuant

party 'with the consent of Company, at the cost of the City.
, 2. In the.event that ,the future use.of 'saideasements or
properties by Company shall at any time or times necessitate a re-
arrangement, relocation or reconstruction of the said public street
or public 'improvements incidental'therto" the same shall be performed'
at the cost of Company.
3. ,All uses of said street areas by. ei th'er, party shall be
such as wili not permanently. interrupt the use or operation of, the
facilities therein of the other party: . uses of said Areas by either
party which temporarily interfere with the use or,operation of the
facili ties therein of'. the other. party will be made only when rea-
sonably necessary under said easements or for streets or incidental
purposes and will be 'promptly terminated as soon as the necessity'
therefor no longer exists.
4. If City shall hereafter vacate or abandon, in whole or
part, the streets 'which are occupied by said easements' or properties,
the City shall, in the vacation or abandonment proceedings, reserve
to Company all rights owned bY,it prior to the execution of this
certification;' ,.' ,
5. ,.Except as e~pressly 'herein ~et .forth, this agreement
shall not in any way alter, modify or terminate any of Company's
prior rights in said Area.
