SAN DIEGO TRANSIT COR?OR~ITIC~N, TO PP.OVIDE TRANSPORTA-
TION SERVICE IN SAID C.%TY
THIS AGREEMENT, made and entered into this 4th day of
July , 19 71 , by and k:etween the C:CTY OF CHULA VISTA, a
municipal corpora ion, hereinafter called "City", and the SAN DIEGO
`i'RPSISIT CURFOFcATION, hereinafter called "Corporation" ;
W I T N E S S E `T' H
WHEREAS, Corporation, pursuant to an agreement with the City of
San Diego, has, for several years, operated a mass transportation system
throughout the City of San Diego, certain partioris of the unincorporated
area of the County, and serving certain other cities within the San Diego
metropolitan area, one of whirr. is the City of Chula Vista, and
FIHEF.EAS, it has bee*i determined that Corporation can no longer
provide to the City of Chu]_a Vista the existing level of transportation
service without receiving financial assistance from the City, and
WHEREAS, the City of C1-iula Vista has undertaken a study of the
present level of service being provided, and has determined that the
services of the San Diego Transit Corporation are desired in the interests
of providing transportation service to the people of Chula Vista, but in
the manner and at the level set forte in this agreement.
NOW, THEF.EFORE, IT IS ML'TtTALLY AGREED by and between. the parties
hereto as follows:
1. Corporation agrees to furnish City a

1471-72 as shown on Exhibit "E", entitled "New Subsidy Estimate", attached
hereto and made a part hereof by reference.
3. Corporation, pursuant to the terms and procedures referred
to I:ereinabove shall provide service to the City for the amount of the
estimated subsidy as set Perth herein, which service shall include, but
not b~ limited. to the following:
(a) Frequency of service;
(b) Location of bus stops throughout City;
(c) Number of hours per 24-hour period service is
provided City;
(dj Routes the vehicles of Corporation shall travel
through the streets of City; and
(e) City shall give Corporation ninety (90) days written
notice of request for charge in ranting, scheduling,
and/or relocating o~ stops.
4. It is mutually agreed that, based upon such estimated
subsidy of X3,903.00, ar.d taking into account the cor~diticns set forth
in the pre r.F--ding paragraph, the schedules and routings as set forth i*i
Exhibit "F", attached hereto and incorporated herein by reference shall
be the serwj-cos provided by Corporation to City until such time as said
services mGy be amended by mutual agreement of the putties.

5. During the term of this agreement, it is understood and
agreed that Corporation and such other transportation agencies as authorized
by the Public Utilities Commission of the State of California shall be the
only transportation agencies providing necessary transportation to the
resident citizens and visitors of City, provided, further, that Corporation
may also provide some portion of the intra-city transportation to said
citizens and visitors with the understanding that City is presently con-
tracting for subsidizing its own intra-city transportation system and that
the transportation provided by Corporation shall be conducted in a manner
so as to operate to the mutual benefit of transportation services provided
by City and by Corporation.
6. It is agreed that City and Corporation shall undertake
negotiations and maintain effective and efficient communications in the
interests of mutually benefitting City's intra-city transportation agency
and the Corporation, particularly looking toward the establishment of
appropriate transfer points and transfer rights between said transporta-
tion agencies.
7. In an effort to maintain the most effective and efficient
communications between the parties, it is understood and agreed that each
party, by letter, shall promptly notify the other of the agent of the
party who shall be responsible for exercising the rights and duties of
said party.
8. Corporation reserves the right to institute such rate
changes for passenger services as it, in its sole discretion, deems
necessary during the term of this agreement, as to any passengers
utilizing the services of the system of Corporation; provided, however,
that such changes will not affect the cost to City as determined by the
formula in the Exhibits attached hereto; and provided, further, that
the City shall immediately be notified of any proposed rate changes con-
templated by Corporation.
9. This agreement shall be binding upon the parties hereto,
their successors and assigns and shall continue in effect from July 1
of the year executed to June 30 of the following year, and for each
successive twelve-month period thereafter unless either party shall give
the other written notice of cancellation of the same within ninety X90)
days prior to July 1 of any year.
IN WITNESS WHEREOF', the parties hereto have caused this agree-
ment to be executed the day and year first hereinabove set forth.
