RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHU~,A
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CH~TLA
VISTA AND SAN DIEGO TRANSIT CORPORATION FOR BUS
SERVICE
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMEI~TT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain dgreement
between THE CITY OF CHULA VISTA, a municipal corporation, aid
SAN DIEGO TRANSIT CORPORATION, for bus service
dated the 26th day of June 19 73 , a Copy of
which is attached hereto and incorporated herein, the same ~s though
fully set forth herein be, and the same is hereby approved.'.
BE IT FURTHER RESOLVED that the Mayor of the City ', of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement fo.r and on behalf of the City of Chula Vista.

A G R E E M E N T
This agreement is entered into by and between
SAN DIEGO TRANSIT CORPORATION, hereinafter called "Cor-
poration" and the CITY OF CHULA VISTA , hereinafter
called "City," in view of the following facts:
A. Corporation, pursuant to an agreement with tk~e
City of San Diego, operates a mass transportation system
involving the City of San Diego and its environs, which
includes City.
B. Corporation is unable to provide satisfactory
and adequate service to the citizens of City without the
financial aid of City.
C. City recognizes the value of the service provided
its citizens and is willing to contract with Corporation
to provide transportation service through the areas o'f City.
NOW, THEREFORE, it is mutually agreed between the
parties hereto, upon the following terms, covenants aid
conditions:
1. Corporation agrees to furnish City a system ?~of
mass transportation for the benefit of the citizens aid
visitors of City as ma,y, from time to time, be agreed upon
between the parties, such service to be paid by City to
Corporation according to the formula set forth in &xh'3bits
attached hereto and incorporated herein as though set forth
in full at this point.

2. Corporation, pursuant to the terms of said formula
referred to in the preceding paragraph, shall provide', such
services to City as may be mutually agreed upon including,
but not limited to, the following:
a) Frequency of service;
b) location of bus stops throughout City;
c) number of hours per 24--hour period
service is provided City;
d) routes the vehicles of Corporation ',shall
travel through the streets of City;',
e) City recognizes that Corporation has
certain obligations under the labor
agreement with Corporation employees.
Therefore, City agrees that in request-
ing cancellation of service, major!,routing
changes or major schedule changes, notice
will be given on or before August 5~, Dec-
ember 5 or May 5, so that such charges can
become effective within thirty (30 )` to
forty-five (45) days following these dates,
This will allow Corporation time td comply
with the pertinent clauses of Corporation's
labor agreement. It is further agreed that
Corporation, when requested by City, will
make minor route changes, minor schedule
changes or implement totally new service

(i.e. Express service, Shuttle service,
Through service) at any time, limited only
by the time it takes to write the schedule
and physically install the bus stops, as long
as Corporation would not be in violation of
the labor agreement with Corporation employees;
and
f) recognizing public convenience and safety,
Corporation agrees, upon request by City, to
install, relocate or remove bus stops as soon
as possible, upon mutual agreement of City
and Corporation staff, who are charged with
this responsibility.
3. In an effort to maintain the most effective and
efficient communications between the parties, it is under-
stood and agreed that each party, by letter, shall p~^omptly
notify the other of the agent of the party who shall be
responsible for exercising the rights and duties of said
party.
4. During the term of this agreement is is understood
that a revenue study will be conducted upon agreement of
both parties. It is agreed that such study will be conducted
jointly and the expense shall be shared equally. From the
results of such study will be developed a new net cost amount
to be paid to Corporation based on the forrnula described in
Exhibit B
5. This agreement shall be binding upon the parties
hereto, their successors and assigns and shall continue in
effect from July 1, 1973 to June 30, 1974 and for each
successive twelve-month period thereafter unless either
party shall give the other written notice of cancellation
of the same within ninety (90) days prior to July 1 of
each successive year.

SUBJECT: Revised Agreement - San Diego Transit Corporation
Inter-City Bus Service
Attached is the revised agreement provided by San Diego Transit
Corporation in response to Council action. at its meeting of
Wednesday, June 13th.
As a matter of reference, this revised agreement amends the original
agreement as follows:
A. The original section 2(e) of this agreement has been modified
to delete the blanket obligation of the City to give San Diego
Transit Coroporation 90 days notice in routing, scheduling, and/or
relocating stops. This change is reflected under 29(e) and 2(f)
of the revised agreement. The revised 2(e) provides greater
clarity of the scope of limitation; it reduces and specifies
the noted provisions. It differentiates between minor changes
and major changes which may be in conflict with the;,union
agreement. New section 2(f) provides clarification. in the
adding or modifying of bus stops and does not make' hat subject
to a 90 day notice provision.
B, The original agreement had section 3, calling for the San Diego
Transit Corporation's right to institute rate changes; this
section has been deleted.
C. The original section 5 has become the revised agreement section 4,
with the deletion of the aforementioned condition dealing with
rate changes. This section has also been reworded'so as to
drop the provision that a mutual cost revenue study could be
initiated unilaterally. It now specifies that such study is
agreed to by action of this contract. In no way dges this
preclude the right of either party to make an independent cost
revenue study.
It is noted that Mr. Page has obligations to attend a Council meeting
of another City Council on Tuesday evening, June 19th. However, he
indicates that if there are any further questions or problems
associated with the agreement, he would be available again for a
Council Conference.

Corporation Agreement
This revised agreement was provided, as promised by Mr. Page, on
Friday morning and a copy was given to the City Attorney for his
review. Council may wish to seek City Attorney comments at the
time of the Council meeting, as to the form and legal implications
involved. To this office, the agreement is improved by ,.the deletion
of unsatisfactory sections and by necessary clarification.
