RESOLUTION NO. 6759
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VI5TA AND THE CITY OF IMPERIAL BEACH FOR DATA
PROCESSING SERVICES
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does. hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agreement
between THE CITY OF CHULA VISTA, a municipal corporation, and
THE CITY OF IMPERIAL BEACH, a municipal corporation, for data
processing services
dated the 27th day of February , 19 73 , a copy of
which is attached hereto and incorporated herein, the same as though
fully set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he is hereby authorized and directed toyexecute said
agreement for. and on behalf of the City of Chula Vista.

"Imperial Beach".

' A, This agreement involves a unique arrangement among
and between municipalities.
B. Imperial Beach desires to computer process its pay-
; ~ ~ ~ roll.
C. City presently has the ability to computer process
the payroll of Imperial Beach.
D, This agreement's purpose is to mesh and coordinate
City's computer ability with Imperial Beach's payroll needs
in an atmosphere of mutual cooperation without unduly
jeopardizing rights nor increasing liabilities for either
City or Imperial Beach.
E, City will perform said computer processing pursuant
to the terms of this agreement.
F. City Finance Department is authorized to provide
additional data processing services at prevailing rates
when requested by Imperial Beach.
NOW, THEREFORE, in consideration of the mutual obligations
of the parties as herein expressed, City and Imperial Beach
agree as follows;
I. The following terms shall have the meanings respecl~ively
ascribe) to them ti~rhen such terms are used in this agreement;

a. "Systems and programming maintenance"
shall mean the activity of altering existing computer
programs or adding new computer programs which are
agreed to by both parties,
b. "Computer processing" shall mean the total
time it takes to process data supplied according to a
preconceived plan and produce acceptable results, in-
eluding, but not limited to, the computer operator's
time, computer running time and time required for
paper form and disk pack changes,
c. "Key punch" shall mean the punching of holes
into a card by the use of a keypunch machine, said
holes to represent coded data to be used as input
source material for the computer.
d. "Key verify" shall mean the process of
verifying by use of a keypunch machine that correct
procedures were used during the keypunching operation.
2. Imperial Beach agrees to do the following;
a. Deliver all relevant input data to be used
in the computers by City in computer processing
Imperial Beach's payroll to Data Processing Control
Desk in City, as provided in Exhibit A attached hereto
and incorporated herein by reference as though fully set
forth,

b. Fick up all output of the above-mentioned computer
processed payroll. at the Data Processing Control Desk,
c, Perform all manua_1 processing required by the
payroll system of Imperial Beach.
d. Provide all_ tapes, F?-2 forms, payroll register
form, time sheets and check blanks and any other paper
material necessary for the computer processing of Imperial
Beach's payroll.
e. Provide three-ring binders for the purpose of
holding systems documentation and pressboard nylon post
binders for program ]_istings.
3. City agrees to do the following:
a. Computer process the payroll system for Imperial
Beach up to Imperial Beach's present requirements, as
stated in Systems Documentation in City's Data Processing
Department, the output of said computer processing to
include, but not be limited by, that list of reports
attached hereto as Exhibit B and incorporated herein by
reference as though fully set forth.
b. Exercise reasonable care in the processing of
• the above-mentioned payroll.
c. Exercise reasonable care in the handling of all
input data supplied by Imperial Beach in order that all

data required by Imperial Beach, as set forth in Systems
Documentation in City's Data Processing Department, be
preserved; but if vandal-proof or fireproof data storage
is required by Imperial Beach, Imperial Beach will
provide an appropriate safe.
d. Create computer back-up files for Imperial Beach
in the same manner and to the same extent that Cit}-
creates back-up files for its own system.
e. Provide maintenance of computer systems and
programming as City personnel and equipment become
available during regular working hours,
f, Make all reasonable efforts to comply with
schedule requirements as set forth in Exhibit A.
4. In consideration for the above-mentioned services
which City will perform, Imperial Beach agrees to pay City
between the fifteenth (15th) day and the end of each month,
a sum of money computed according to the Fee Schedule attached
hereto as Exhibit C a.nd incorporated herein by reference as
though fully set forth. Exhibit C may be revised at any time
unilaterally by City by serving a copy of the revised Exhibit
•C, bearing the date of revision and the date when such new
fees will become effective, in no case to be earlier than
forty-five (45) days from and after the date of service, on
the rlanager and Clerk of the City of Imperial Beach. Reference
hereinafter to Exhibit C shall include any of its revisions as
above provided.

5. Production schedules for the above-mentioned
data processing services are outlined in Exhibit A.
Exhibit A may be revised from time to time by the mutual
agreement of the parties in writing, submitted at least
ten (10) days prior to imalementation of said revised
Exhibit A to the Clerks of the respective cities.
Imperial Beach will alter. its manual. schedules to meet
City computer schedule requirements.
6. Imperial Beach shall indemnify and hold City
harmless from all claims and demands of any description
arising out of the performance of this agreement result-
ing in money damages and brought by or f.or the bexiefit
of an employee or resident of Imperial Beach, to the
extent that such claims or demands are alleged to be the
result of an error, omission, intentional or negligent
act of any person employed by City. Imperial Beach
further agrees to pay reasonable atto.rney`s fees and court
costs in the defense of any action alleged to have arisen
through the performance of this agreement, regardless of
its outcome, brought by or for the benefit of an employee
, or resident of Imperial Beach, to the extent that such
claims or demands within such action are alleged to be the
result of an error, omission, intentional or negligent act
of any person employed by City.
7. Imperial. Beach agrees that it shall not proceed against
City for any computer malfunction or any human error,
whether intentional., negligent or otherwise, which is

occasioned through the performance of this agreement, nor
shall Imperial Beach proceed against City for failure to
comply with this agreement if such failure is occasioned
by circumstances beyond City's control, such as employee
wall:-outs, strikes or other activity, Nothing in paragraphs
6 and 7 affect other contractual rights o:' duties estab-
lished by this agreement.
8. This agreement may be terminated by either
party by giving thirty (30) days written notice of in-
tention to terminate to the Clerk of the legislative body
of the other party but, at the option of Imperial Beach,
said termination date may be extended to sixty (60) days
written notice of intention to terminate,
9. Nothing in this agreement shall alter any duty,
responsibility, right or privilege which either City or
Imperial Beach has and which is not specifically enumerated
within this agreement.

City of Chula Vista, acting by and through its City Manager,
pursuant to Resolution No. __ , authorizing such
execution, and by the City of Imperial Beach..

All payroll input transactions, time sheets, and control
totals are to be delivered to the City's Data Processing
Control Desk not later than 2:00 P.M. each Tuesday pre-
ceeding pay day. The payroll output will be completed
by 4:00 P.M. Wednesday, except where holidays fall on
Tuesday or Wednesday.

The following is the fee schedule which twill be effective on
January 1, 1973. This schedule is subject to revision by
the Cit}* at any time;
A.11 minor program modifications twill be made
free of charge. Any major modifications will
be made at $15.75 per hour.
1. Keypunching and verification for initially
establishing the payroll master. file -
One-time charge $75.00
2. Payroll processing each pay period 35.00
Extending the above figures to an annual rate,
the charge for the first year is as follows:
Payroll processing - $35.00 x 26 $910.00
One-time conversion charge 75.00
Total first year $985.00
Succeeding years' charge. $910.00
3. Reruns or runs at frequencies other than
stated in Ex}Zibit E twill be provided at a
cost of $45.00 per hour for the computer
time used.
