HomeMy WebLinkAboutReso 1973-6758Form No. 342 Rev. 9-71 RESOLUTION N0. 6758 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VI5TA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND THE CITY OF EL CAJON FOR DATA PROCESSING SERVICES AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and THE CITY OF EL CAJON, a municipal corporation, for data processing services dated the 27th day of February 19 73 , a copy of which is attached hereto and incorporated herein, the same as though fully set forth herein be, and the same is hereby approved. DATED City Clerk ' f ~ • . ~EMENT FOR DATA PROCESSING SERVICES FOR THE CITY OF EL CAJON BY THE CITY OF CHULA VISTA THIS AGREEMENT is made by THE CITY OF CHULA VISTA, a municipal corporation, herein called "City,'' and THE CITY OF EL CAJON, a municipal corporation, herein called "EI Cajon". R E C I T A L S A. This agreement involves a unique arrangement among and between municipalities. B. EI Cajon desires to computer process its payroll. C. City presently has the ability to computer process the payroll of EI Cajon. D. This agreement's purpose is to mesh and coordinate City's computer ability with EI Cajon's payroll needs in an atmosphere of mutual cooperation without unduly jeopardizing rights nor increasing liabilities for either City or EI Cajon. E. City will perform said computer processing pursuant to the terms of this agreement. F. City Finance Department is authorized to provide additional data processing services at prevailing rates when requested by EI Cajon. NOW, THEREFORE, in consideration of the mutual obligations of the parties as herein expressed, City and EI Cajon agree as follows: I. The following terms shall have the meanings respectively ascribed to them when such terms are used in this agreement: `~ ~ ~ , / ` ~'~ , a. "Systems and programming maintenance" shall mean the activity of altering existing computer programs or adding new computer programs which are agreed to by both parties. b. "Computer processing" shall mean the total time it takes to process data supplied according to a preconceived plan and produce acceptable results, including, but not limited to, the computer operator's time, computer running time and time required for paper form and disk pack changes. c. "Key punch" sha(I mean the punching of holes into a card by the use of a keypunch machine, said holes to represent coded data to be used as input source material for the computer. d. "Key verify" shall mean the process of verifying by use of a keypunch machine that correct procedures were used during the keypunching operation. 2. EI Cajon agrees to do the following: a. Deliver ail relevant input data to be used in the computers by City in computer processing EI Cajon's payroll to Data Processing Control Desk in City, as provided in Exhibit A attached hereto and incorporated herein by reference as though fully set forth. -2- } _ __ ; ~'" .'.~ • • b. Pick up all output of the above-mentioned computer processed pay roil at the Data Processing Control Desk. c. Perform all manual processing required by the payroll system of EI Cajon. d. Provide all tapes, W-2 forms, payroll register form, time sheets and check blanks and any other paper material necessary for the computer processing of EI Cajon's payroll. e. Provide three-ring binders for the purpose of holding systems documentation and pressboard nylon post binders for program listings. 3. City agrees to do the following: a. Computer process the payroll system for EI Cajon up to EI Cajon's present requirements, as stated in Systems Documentation in City's Data Processing Department, the output of said computer processing to include, but not be limited by, that list of reports attached hereto as Exhibit B and incorporated herein by reference as though fully set forth. b. Exercise reasonable care in the processing of the above-mentioned payroll. c. Exercise reasonable care in the handling of all input data supplied by EI Cajon in order that all -3- • • • -- ~ ` l t_, • • • data required by EI Cajon, as set forth in Systems Documentation in City's Data Processing Department, be preserved; but if vandal-proof or fireproof data storage is required by EI Cajon, EI Cajon will provide an appropriate safe. d. Create computer back-up files for EI Cajon in the same manner and to the same extent that City creates back-up files for its own system. e. Provide maintenance of computer systems and programming as City personnel and equipment become available during regular working hours. f. Make all reasonable efforts to comply with schedule requirements as set forth in Exhibit A. 4. In consideration for the above-mentioned services which City will perform, EI Cajon agrees to pay City between the fifteenth (15th) day and the end of each month, a sum of money computed according to the Fee Schedule attached hereto as Exhibit C and incorporated herein by reference as though fully set forth. Exhibit C may be revised at any time unilaterally by City by serving a copy of the revised Exhibit C, bearing the date of revision and the date when such new fees will become effective, in no case to be earlier than forty-five (45) days from and after the date of service, on the Manager and Clerk of the City of EI Cajon. Reference hereinafter to Exhibit C shall include any of its revisions as above provided. -4- _ ~ f 'Y ~ ~\ • • 5. Production schedules for the above-mentioned data processing services are outlined in Exhibit A, Exhibit A may be revised from time to time by the mutual agreement of the parties in writing, submitted at least ten (10) days prior to implementation of said revised Exhibit A to the Clerks of the respective cities. EI Cajon will alter its manual schedules to meet City computer schedule requirements. 6. EI Cajon shall indemnify and hold City harmless from all claims and demands of any description arising out of the performance of this agreement resulting in money damages and brought by or for the benefit of an employee or resident of EI Ca`ion, to the extent that such claims or demands are alleged to be the result of an error, omission, intentional or negligent act of any person employed by City. EI Cajon further agrees to pay reasonable attorney's fees and court costs in the defense of any action alleged to have arisen through the performance of this agreement, regardless of its outcome, brought by or for the benefit of an employee or resident of EI Cajon, to the extent that such claims or demands within such action are alleged to be the result of an error, omission, intentional or negligent act of any person employed by City. 7. EI Cajon agrees that it shall not proceed against City for any computer malfunction or any human error, whether intentional, negligent or otherwise, which is -5- • • occasioned through the performance of this agreement, nor shall EI Cajon proceed against City with this agreement if such failure stances beyond City's control, such strikes or other activity. This agreement may be terminated by either party by giving thirty (30) days written notice of intention to terminate to the Clerk of the legislative body of the other party but, at the option of EI Cajon, said termination date may be extended to sixty (60) days written notice of intention to terminate. 9. Nothing in this agreement shall alter any duty, responsibility, right or privilege which either City or EI Cajon has and which is not specifically enumerated within this agreement. IN WITNESS WHEREOF, this agreement is executed by The City of Chula Vista, acting by and through its City Manager, pursuant to Resolution No. (758 authorizing such execution, and by the City of EI Cajon. This schedule is subject to revision by the City at any time: All minor program modifications will be made free of charge. Any major modifications will be made at $15.75 per hour. I. Keypunching and verification for initially establishing the payroll master file - One-time charge $300.00 2. Payroll processing each pay period 140.00 Extending the above figures to an annual rate, the charge for the first year is as follows: Payroll processing - $140.00 x 26 $3,640.00 One-time conversion charge 300.00 Total first year $3,940.00 Succeeding years' charge $3,640.00 3. Reruns or runs at frequencies other than stated in EXHIBIT B will be provided at a cost of $45.00 per hour for the computer time used. ~~. _ ~~ ~_ ~~
