RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT WITH BARYON-ASCHMAN ASSO-
CIATES, INC. FOR THE PREPARATION OF A TRANSIT
DEVELOPMENT PLAN, AUTHORIZING THE MAYOR OF SAID
CITY TO EXECUTE SAID AGREEMENT, APPROPRIATING FUNDS
AND AUTHORIZING AN AMENDMENT TO CHULA VISTA 1975-76
LTF FUND CLAIM
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agreement
between THE CITY OF CHULA VISTA, a municipal corporation, and BARTON-
ASCHMAN ASSOCIATES, INC., for the preparation of a Transit Development
Plan, dated the gth day of December 1975, a copy of which
is attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the P2ayor of the City of Chula
Vista be, and he is hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista and to appoint
a citizen's group for workshop/forums in connection with said agree-
ment.
BE IT FURTHER RESOLVED that the sum of $18,250 be, and the
same is hereby appropriated from the unappropriated balance of revenue
sharing funds and is to be placed in account 22-1720-5201 for the
purpose set forth hereinabove.
BE IT FURTHER RESOLVED that Chula Vista's 1975-76 LTF fund
claim is hereby amended to include the incorporation of the Transit
Development Study as part of the claim.

AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND
BARYON-ASCHMAN ASSOCIATES, INC. FOR THE PREPARA-
TION OF A TRANSIT DEVELOPMENT PLAN
THIS AGREEMENT, made and entered into this 9th day of
December' , 1975, by and between THE CITY OF CHULA VISTA, a
municipal corporation, hereinafter called "City" and BARYON-ASCHMAPd
ASSOCIATES, INC., Bradbury Building, Suite 302, 304 South Broadway,
Los Anqeles, California 90013, hereinafter called "Consultant";
W I T N E S S E T H
WHEREAS, the City of Chula Vista desires the preparation
of a Transit Development Program based upon a Transit Development
Study, and
WHEREAS, the City has requested proposals for such a
Transit Development Study from professional public transportation
analysts, and
WHEREAS, based upon the review of such proposals, the
City has determined that Barton-Aschman Associates, Inc. will be
retained to conduct said Transit Development Study, and
WHEREAS, said study to be undertaken by Barton-Aschman
Associates, Inc. will provide the City with technical and manage-
ment strategies needed to improve existing transit services and to
meet present and future demands for public transportation travel.
NOW, THEREFORE, IT I5 MUTUALLY AGREED by and between the
parties hereto as follows:
I. SCOPE OF SERVICES.
City hereby engages Consultant to render professional
services necessary to develop a study in compliance with the Urban
Mass Transit Authorities (UMTA) requirements for a five-year Trans-
portation Improvement Program developed through community partici-
pation in the analysis of various transit alternatives. Said study
will examine community attitudes, desires and needs and the goals
and objectives of the citizens. It will undertake an analysis of
existing conditions, the evaluation of various alternatives and
finally recommend a Chula Vista Transit Development Program. Said
services shall be rendered in accordance with the terms and condi-
tions and phasing as set forth in the proposal received from Con-
sultant dated November 11, 1975, attached hereto as Exhibit "A",
and incorporated herein by reference as if set forth in full.
Phase 1 - Project Initiation.
1. Consultant shall establish workshops or forums in-
tended to provide a method for citizen participation to assist in
obtaining the information to fulfill the scope of services.
2. Consultant shall undertake a review of socio-economic
projections including land use, socio-economic information and pre-
sent and projected travel patterns and magnitudes.

Phase 2 - Transit Needs.
Consultant shall identify transit needs and analyze de-
ficiencies in existing transit service both in terms of coverage
and service quality.
Phase 3 - Transit Alternatives.
Consultant shall evaluate the transit alternatives with
a set of transit related goals, objectives and service standards.
Each alternative system shall be carefully weighed and placed within
a financial framework to determine the fiscal capability of the City
of Chula Vista to support any of the alternative local transit sys-
tems. Based upon the total evaluations, a short-range target plan
will be recommended.
Phase 4 - Plan Selection.
On the basis of the foregoing data collection and review,
alternative transit system testing, refinement and evaluation, and
City and citizen review, a Transit Development Program detailing
the preferred public transportation plan will be prepared. Consul-
tant will detail the impacts of the urban transportation system
plan.
Phase 5 - Plan Implementation.
Consultant shall recommend a short-range target level of
service. He shall develop a marketing strategy to promote increased
transit patronage. Alternative management/organizational structures
for the selected transit system concept will be developed and evalu-
ated in terms of the cost savings and levels of local control that
may be attained. A procedure will be presented for the annual up-
dating of the Transit Development Program. Finally, Consultant
shall present a draft of the final report containing the short-
range and long-range elements of the Transit Development Program
to the City of Chula Vista.
II. CONSULTANT'S CODZPENSATION AND DURATION OF AGREEMENT.
Charges for the Consultant's services shall be based upon
the actual time the staff of Barton-Aschman Associates, Inc. devotes
to the project to be billed monthly in accordance with the Summary
of Costs and Work Sequence as shown on page 4.3 of Exhibit "A".
The estimated total budget is $18,250.00. Consultant agrees to
present the completed draft report on or before February 24, 1976
and a final report on or before March 10, 1976.
III. PROJECT MANAGEP4ENT.
Consultant agrees that Darwin G. Stuart, Senior Associate
for Barton-Aschman and Associates, shall be in charge of the project.
Consultant shall secure at his own expense all personnel required
in the performance of the services as set forth in this agreement
and the proposal of Consultant. Consultant shall act as an inde-
pendent contractor and any and all personnel engaged in the per-
formance of the services of this project shall be employees of
Consultant and licensed pursuant to the laws of the State of Cali-
fornia or any local agency.
Consultant further agrees that the following personnel
shall devote substantially the number of hours as indicated to
this project:

Darwin G. Stuart 32 hours
Thomas Larwin 260 hours
Sam Davis 100 hours
-~- Thomas Mitchell 72 hours
Larry Greer 40 hours
Total 504 hours
Consultant further agrees that no substitutes in the list
of key personnel shall be made without prior written approval of
the City and each invoice shall indicate actual time expended by
said key personnel.
IN WITNESS WHEREOF, the parties hereto have caused this
agreement to be executed the day and year first hereinabove set
