RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND INFRASTRUCTURE MANAGEMENT SERVICES (IMS) FOR
PROJECT LEVEL TESTING OF BROADWAY BETWEEN "F" STREET
AND ANITA STREET
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE ITsRESOLVED by the City Council of
the City of Chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and INFRASTRUCTURE
MANAGEMENT SERVICES (IMS) for project level testing of Broadway
between "F"Street and Anita Street
dated the 27th day of October , 1987, a copy Of which is
attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.

AGREEMENT FOR ENGINEERING STUDY
THIS AGREEMENT, made and entered into this 27th day of October ,
1987, by and between the CITY OF CHULA VISTA, CALIFORNIA, a public
corporation, hereinafter referred to as "City", and IMS INFRASTRUCTURE
MANAGEMENT SERVICES, an Illinois Partnership, whose address is 3350 Salt Creek
Lane, Suite ll7, Arlington Heights, Illinois 60005, hereinafter referred to as
"Engineer," covers certain professional engineering services in connection
with the City of Chula Vista Pavement Management Program.
RECITALS
A. WHEREAS, the City owns a pavement management program developed by
Infrastructure Management Services (IMS).
B. WHEREAS, the City utilizes the program to develop and design pavement
rehabilitation projects.
C. WHEREAS, the City is desirous to conduct a project level pavement
condition study for the segment of Broadway Avenue from "F" Street to
Anita Street.
WITNESSETH THAT, i n consi derati on of these premises and of the mutual
covenants herein set forth:
THE ENGINEER AGREES:
1. To perform a Pavement Management Study for approximately 3 miles of
pavement on Broadway between "F" Street and Anita Street in Chula Vista as
referenced with the procedures set forth in Attachment A. The study area
is further defined in the location drawing, Attachment B.
2. To conduct the following operations necessary to develop a computerized
Pavement Management Program:
a. RST generated pavement inventory
b. Street Environment Inventory
c. RST Surface Condition Survey
d. Dy.amic denectio.
3. To commence field work within ~ days of notice to proceed and to provide
the test data on computer disks for installation into a City-owned Compaq
286 Deskpro microcomputer within 60 days of the commencement of field
activities.
4. To meet with the City for initiation of the project, coordination of field
activities, installation of data disks.
5. To indemnify, keep and save harmless the City, its officials, officers,
employees and agents, against all liabilities, judgements, costs, damages
and expenses, direct and indirect, that may be suffered, claimed or
otherwise accrued, against the City, arising on account of negligence by
Engineer's staff during testing operations under this Agreement and in
consequence thereof.
6. To represent and warrant that it and its agents, staff and consultants
!i employed by it is and are protected by worker's compensation insurance and
, that Engineer has such coverage under public liability and property damage
insurance policies which the Engineer deems adequate.
In addition, the Engineer will provide the following certificates of
insurance to the City which:
Evidence of Statutory Workers' Compensation coverage plus $1 million
Employers Liability coverage.
All insurance carriers shall comply with the items listed below:
1. Listing by the State Insurance Commission as a company authorized to
transact the business of insurance in the State of California.
2. A Best's Rating of "A", Class V, or better.
3. Where a company is not included in in Best's, it must show by
convincing evidence that its financial responsibility is equal or
better than the rating set froth in No. 2.
7. In the event data or test results are found in error during review of the
report, the Engineer agrees that he will perform such corrections without
expense to the City through final payment may have been received by him.
He shall give immediate attention to these changes so there will be a
minimum delay to the City.
8. To purchase, repair, and maintain all equipment required to complete this
project.
9. To perform additional data collection on pavements outside the study area
at the request of the City on a unit price basis not to exceed those
stated in Section 1 of THE CITY AGREES.
10. Not to discriminate against any employee or applicant for employment
because of race, religion, color, sex, or national origin. Such actions
shall include, but not be limited to the following: employment,
upgrading, demotion or transfer; recruitment or recruitment advertising,
layoff or termination, rates of pay or other forms of compensation; and
selection for training including apprenticeship.

THE CITY 'AGREES:
1. To pay the Engineer compensation for all services performed as stipulated
in paragraphs l, and 2 of THE ENGINEER AGREES and in accordance with the
fee schedule set forth on Page 5 of Attachment A.
2. The payments due the Engineer for services rendered in accordance with
this Agreement will be made within 30 days after the approval of the work
performed in accordance with the following schedule:
Upon the completion of the field testing
(each element will be billed on a unit price
basis for the actual work completed). 50%
Upon submission of data discs to the City 30%
Upon successful running of software modules 10%
Upon acceptance by the City 10%
3. Should the project be abandoned at anytime after the Engineer has
performed any part of the services provided for in paragraph 1 and 2 of
ENGINEER AGREES, and prior to the completion of such services, the City
shall reimburse the Engineer for the percentage of the work completed up
to the time he is notified in writing of such abandonment.
4. That, should the City require changes on any of the detailed
specifications, except for those pursuant to paragraph 6 of ENGINEER
AGREES, after they have been approved by the City, the City will pay the
Engineer for such changes on the basis of the engineer's unit prices
herein established. It is understood that "changes" as used in this
paragraph shall in no way relieve the Engineer of his responsibility to
prepare a complete Pavement Management Program for the evaluation of
pavement conditions.
5. To provide to the extent possible the following:
a. Project limits and street map for performing the various data
col 1 ecti on operations.
b. A safety vehicle, when requested, to provide protection for the
deflection testing operation on heavily traveled roads or those in
hilly terrains.
c. Assist in coordinating activities between City Departments and any
outside agencies as necessary to permit efficient data collection
operations by Engineer.

IT IS MUTUALLY AGREED
1. That Attachments enumerated in this section and attached to this Agreement
are incorporated in this Agreement by this reference and are to be
construed as part of this Agreement.
Attachment A - IMS Infrastructure Management Services Proposal dated
September 8, 1987.
Attachment B - Study boundaries
2. This Agreement may be terminated by the City upon giving notice in writing
to the Engineer at this last known post office address. Upon such
termination, the Engineer shall cause to be delivered to the City all
data, if any, from pavement studies with the understanding that all such
material becomes the property of the City. The Engineer shall be paid for
any services completed and any services partially completed in accordance
with Section 3 of the THE CITY AGREES.
3. That the Engineer warrants that he has not employed or retained any
company or person, other than a bona fide employee working solely for the
Engineer, to solicit or secure this contract, and that he has not paid or
agreed to pay any company or person, other than a bona fide employee
working solely for the Engineer, any fee, commission, percentage,
brokerage fee, gifts, or any other consideration, contingent upon or
resulting from the award or making of this contract. For breach or
violation of this warranty the City shall have the right to annul this
contract without liability.
4. The Engineer shall not assign this Agreement in whole or in part without
prior written consent of the City. This Agreement consists of
professional services and software programs and it is not contemplated by
either party that any such assignment would occur. Any such assignment
shall not relieve the Engineer of any of it obligation under this
agreement.
5. That all questions concerning the execution, validity or invalidity,
capacity of the parties, and the performance of this Agreement, shall be
interpreted in all respects in accordance with the laws of the State of
California.
6. That this Agreement, together with the Attachments, is the entire
Agreement between the parties and all other Agreements are merged herein.

carried out. We would recommend a basic program of one
'-:~',.'coring per 2-lane mile. This would be equate to a
--total of 6 on the project. Revie~ of the deflection

for additional cores. These would be undertaken at a
'~--. unit cost of $50 per core. ..,.: , ~,

I.M.S. would process the field data (R.S.T./Dynaflec't/Street
and Environmental Inventories) through its computer system.
The results will be placed on ha~d discs with appropriate
backups. The discs would be provided to your Department so
that you can run it through you~ pavement management

Should the City wish I.M.S. to analyze and assess the
results, and assist the City in formulating the appropriae
rehabilitation plan, there would be an additional charge of
$500.00.
6. PROJECT TIME SCHEDULE
The field work would be carried out in conjunction with the
network level study for the area west of Interstate 805
and north of "L" Street, which is scheduled for early
November. Thus, the project could be successfully completed
by the end of November or early December, including
assessment of the results and finalization of the most cost
effective rehabilitation plan.
