RECITALS A. WHEREAS, the City is in the process of implementing a comprehensive pavement management program. B. WHEREAS, such a program has been developed for the City by Infrastructure Management Services (IMS) for streets in the Montgomery area. C. WHEREAS, the program i s uti 1 i zed by the C i ty to develop pavement rehabilitation projects. D. WHEREAS, the City is desirous to incorporate additional City streets into the program which requires additional pavement testing. WITNESSETH THAT, i n consi derati on of these premises and of the mutual covenants herein set forth: THE ENGINEER AGREES: 1. To perform a Pavement Management Program for pavement north of "L" Street and west of Interstate 805 in Chula Vista and consisting of approximately 1,600 test sections as referenced in paragraph 2 of Attachment A. The boundaries of the study area are further defined in the location drawing, Attachment B. 2. To conduct the following operations necessary to develop a computerized Pavement Management Program: a. RST generated pavement inventory b. Street Environment Inventory c. RST Surface Condition Survey 3. To commence field work within ~ days of notice to proceed and provide edited test data on computer disks for installation into a City-owned Compaq 286 Deskpro microcomputer within 60 days of the commencement of field activities. 4. To meet with the City for initiation of the project, coordination of field activities and installation of data disks. 5. To indemnify, keep and save harmless the City, its officials, officers, employees and agents, against all liabilities, judgments, costs, damages and expenses, direct and indirect, that may be suffered, claimed or otherwise accrued, against the City, arising on account of negligence by Engineer's staff during testing operations under this Agreement and in consequence thereof. 6. To represent and warrant that it and its agents, staff and consultants employed by it is and are protected by worker's compensation insurance and that Engineer has such coverage under public liability and property damage insurance policies which the Engineer deems adequate. In addition, the Engineer will provide the following certificates of insurance to the City which: Evidence of Statutory Workers' Compensation coverage plus $1 million Employers Liability coverage. Evidence in the form of a Certificate of Insurance and Policy Endorsement, or General and Automobile Liability coverage to $1 million combined single limits which names the City of Chula Vista as additional insured. All insurance carriers shall comply with the items listed below: 1. Listing by the State Insurance Commission as a company authorized to transact the business of insurance in the State of California. 2. A Best's Rating of "A", Class V, or better. 3. Where a company is not included in Best's, it must show by convincing evidence that its financial responsibility is equal or better than the rating set forth in No. 2. 7. In the event data or test results are found in error during review of the report, the Engineer agrees that he will perform such corrections without expense to the City though final payment may have been received by him. He shall give immediate attention to these changes so there will be a minimum delay to the City. 8. To purchase, repair, and maintain all equipment required to complete this project. 9. To perform additional data collection on pavements outside the study area at the request of the City on a unit price basis not to exceed those set forth in Section 1 of THE CITY AGREES. -2- lO. Not to discriminate against any employee or applicant for employment because of race, religion, color, sex, or national origin. Such actions shall include, but not be limited to the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation; and selection for training including apprenticeship. THE CITY AGREES: 1. To pay the Engineer compensation for all services performed as stipulated in paragraphs l, and 2 of THE ENGINEER AGREES and in accordance with the following unit price schedule: Continuous Laser RST Surface Condition Survey, inventory, environmental survey with output in increments referenced in Attachment A, paragraph 2. $15.00/test section Dynamic deflection testing. $10.O0/test section Enter and edit RST and Dynaflect data and provide data disks to the City for input to City-owned Compaq 286 microcomputer. Included above Total price for services rendered will not exceed $40,000. 2. The payments due the Engineer for services rendered in accordance with this Agreement will be made within 30 days after the removal of the work performed in accordance with the following schedule: Upon the completion of the field testing (each element will be billed on a unit price basis for the actual work completed). 50% Upon submission of data discs to the City 30% Upon successful running of software modules 10% Upon acceptance by the City 10% 3. Should the project be abandoned at anytime after the Engineer has performed any part of the services provided for in paragraph 1 and 2 of ENGINEER AGREES, and prior to the completion of such services, the City shall reimburse the Engineer for the percentage of the work completed up tO the time he is notified in writing of such abandonment. 4. That, should the City require changes on any of the detailed specifications, except for those pursuant to paragraph 6 of ENGINEER AGREES, after they have been approved by the City, the City will pay the Engineer for such changes on the basis of the engineer's unit prices herein established. It is understood that "changes" as used in this paragraph shall in no way relieve the Engineer of his responsibility to prepare a complete Pavement Management Program for the evaluation of pavement conditions. -3- 5. To provide to the extent possible the following: a. Project limits and street map for performing the various data collection operations. b. A safety vehicle, when requested, to provide protection for the deflection testing operation on heavily traveled roads or those in hilly terrains. c. Assist in coordinating activities between City Departments and any outside agencies as necessary to permit efficient data collection operations by Engineer. IT IS MUTUALLY AGREED 1. That Attachments enumerated in this section and attached to this Agreement are incorporated in this Agreement by this reference and are to be construed as part of this Agreement. Attachment A - IMS Infrastructure Management Services Proposal dated September 4, 1987. Attachment B - Study boundaries 2. This Agreement may be terminated by the City upon giving notice in writing to the Engineer at this last known post office address. Upon such termination, the Engineer shall cause to be delivered to the City all data, if any, from pavement studies with the understanding that all such material becomes the property of the City. The Engineer shall be paid for any services completed and any services partially completed in accordance with Section 3 of the THE CITY AGREES. 3. That the Engineer warrants that he has not employed or retained any company or person, other than a bona fide employee working solely for the Engineer, to solicit or secure this contract, and that he has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Engineer, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty the City shall have the right to annul this contract without liability. 4. The Engineer shall not assign this Agreement in whole or in part without prior written consent of the City. This Agreement consists of professional services and software programs and it is not contemplated by either party that any such assignment would occur. Any such assignment shall not relieve the Engineer of any of it obligation under this agreement. -4- 5. That all questions concerning the execution, validity or invalidity, capacity of the parties, and the performance of this Agreement, shall be interpreted in all respects in accordance with the laws of the State of California. 6. That this Agreement, together with the Attachments, is the entire Agreement between the parties and all other Agreements are merged herein. Proposal No. 02-8011A00 Dear Gena: 1. BACKGROUND In 1986, I.M.S. was retained by the City of Chula Vista to carry out a network level pavement management project on the area known as the Montgomery Annexation. This included the following on each street section in the Annexation: Obtain pavement surface condition data with I.M.S.'s Laser Road Surface Tester (R.S.T.); Determine the condition and interaction of the base and subgrade from deflection testing (Five- Sensor Dynaflect equipment). The City purchased the I.M.S. microcomputer software package which has been installed on your hardware. Early this year your staff ran all nine modules in the software and produced the first Five-Year Pavement Management Plan for Chula Vista. On August 31st, I met with Ken J GoldKamp, P.E., Lynn Christopher and yourself to discuss the City's proposed 1987 pavement management program. It is your intention to carry out a comprehensive network level program on the city streets west of Interstate 805 and north of "L" Street. At the meeting you tabled a listing of the streets to be investigated in each of the following categories: 1211 W, Imperial Highway, Suite 216, Brea, Camornla 92621 (714) 680-8339 ~i~' ' Ms. Eugenia Franco -2- 9/4/87 ~ - Arterials (F.A.U.) 12 to 4 lanes); - Collectors (2-lane); - Residentials (2-lane). Criteria were also established for projecting the number of test sections in each classification. It was agreed that the writer would provide the following information: a) Recommended scopes of service for the proposed 1987 pavement management project. b) An estimated budget for undertaking the work on behalf of the City of Chula Vista. c) A projected time frame for initiating and completing the project, including the submission of computer discs containing all the field data collected. The City could input this data directly into its software system. We are delighted to have the opportunity to submit, herein, in duplicate our proposal for undertaking a pavement management project, on the network described above, for the City of Chula Vista. The estimated budget for successfully completing this project is presented in Section 6, page 5. 2. ESTIMATED NUMBER OF TEST SECTIONS The criteria used to establish the test sections are: - Test each lane of the F.A.U. and Collector streets. - Test one of the two lanes of the Residential streets. Wherever possible, test sections are to be defined on a block to block basis. However, no test section should be longer than 700 feet in length. In other words, a block 1,320 feet in length would be sub-divided into two test sections. Your staff established a listing of the test sections in each street classification. We jointly had an opportunity to review them at the August 31st meeting. A City street map (scale 1 inch to 800 feet) was helpful in this regard. The finalized listings are found under separate cover. A summary of the test sections in each classification is presented in tabular form on the next page. SCOPES OF FIELD TESTING PROGRAM I.M.S. will use automated, fully computerized state-of- the-art equipment to obtain accurate and objective data on the pavement sections of Chula Vista. This equipment allows the determination of: - The existing condition of each pavement section tested in quantitative terms. - The projected time-rate of pavemen~ deterioration (decay) of each section over a ten-year period. Specifically, the following field testing will be carried out on each of the test sections: a. Surface Condition of Pavement Sections I.M.S.'s Laser R.S.T. will be used to provide accurate, continuous, objective data on each test section including: - Surface roughness and ride quality; - Rutting conditions; - Cracking {type, width/depth and density); - Macrotexture of pavement surfaces. In addition the R.S.T. crew will collect the street inventory data. Further, they will record environmental data, including shoulder types and conditions, drainage conditions, etc. This information will be processed and stored in hard disc form in the on-board computer. The unit cost of the testing undertaken with the Laser R.S.T. will be $15 per test section. Ms. Eugenia Franco -4- 9/4/87 b. Condition and Interaction o__f the Base and Subgrade An important component in any pavement management program is the determination of the condition and interaction of the pavement base and subgrade. The best method of accomplishing this is to carry out deflection testing. On the-Chula Vista project, I.M.S. would propose using the Five-Sensor Dynaflect equipment. It is pertinent to note that this company uses the results from all five sensors in the analyses and evaluation of the pavements under investigation. This is quite unique in the industry. It is our considered opinion that, at the network level, a reasonable deflection testing program would consist of one test per test section. The unit cost for undertaking this work will be $10 per test. 4. ELECTRONIC DATA PROCESSING Subsequent to completion of the Laser R.S.T. and Dynaflect testing, I.M.S. would run both sets of data through its software system. The results would be formulated on discs with appropriate backups. I.M.S. would provide the City of Chula Vista with the discs, while retaining the backups. You can use the discs to input the data into your "in-house" pavement management software. It is our understanding that you would like to keep the Montgomery Annexation street network, and this 1987 network, separate and distinct. The software will afford you this capability. 5. CITY MANPOWER RESOURCE REQUIREMENT It is our understanding that your staff will input the traffic data for each of the street sections; this will include: - One - directional Average Daily Traffic Volumes; - One - directional single-axle truck counts; - Dne - directional multi-axle truck counts; - Projected traffic growth over a 10-year period {as a percentage of present volumes). We assume you will selec~ the nine maintenance/ rehabilitation strategies you wish considered in the software. Further, you will establish the costs (materials and labor) for each in the units of Dollars per square yards of area treated. The City will also establish the inflation factors, for each strategy, it wishes to consider over the 5-year planning period. Ms. Eugenla Franco -5- 9/4/87 Our Mr.~David Butler, Senior Engineer, Computer Applications and,the writer are quite prepared to consult with your staff on an"as-required" basis prior to and during the running of .the software modules. 6. ESTIMATED BUDGET FOR THE PROJECT The estimated budget for carrying out a network level "'~ pavement management.project for the area of the City of Chula Vista, west of Interstate 805 and north of "L" street is presented below. The projected number of test sections iS 1,600 {refer to Section 2, page 2). TOTAL ESTIMATED PROJECT BUDGET $40,000.00 I.M.S. would not bill beyond the budget quoted above, unless the scope of services have been expanded by the City, for example, additional test sections placed in the program. In the latter case, we would be pleased to undertake the supplementary work using the unit prices given in this letter. We appreciate the-fact that I.M.S. would have to have authorization in writing prior to billing beyond the budget. We would respectfully suggest that the project be billed on the following basis: Completion of Field Investigative Program 50% of Contract Submission of Data Discs to the City 30% of Contract Successful Running of Software Modules 20% of Contract ! Ms. Eugenia Franco -6- 9/4/87 7. PROJECTED TIME SCHEDULE Tentatively, I.M.S. will be able to initiate the field in- vestigate work for this project in the first half of November, 1987. The company would be in the position to provide your Department with the computer discs containing the field data in December. Theref6~e, you could be running the software modules, including the management plan, that .. same month. The writer will confirm the time for project initiation by mid-October. I trust that the above noted schedule meets the City's re- quirements. 8. CLOSING COMMENTS It is our understanding that the City of Chula Vista will prepare a legal contract to cover this undertaking. This Letter Proposal is to form an attachment to the contract. We trust this Proposal meets your immediate needs.
