HomeMy WebLinkAboutReso 1988-13517 RESOLUTION NO. 13517 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA VISTA AND PERSONNEL ASSOCIATES FOR JOB CLASSIFICATION AND PAY CONSULTING SERVICES AS CALLED FOR IN THE 1987-89 MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY AND THE CHULA VISTA EMPLOYEES' ASSOCIATION AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT The City Council of the City Of Chula Vista does hereby resolve as follows: NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chula Vista that that certain agreement between THE CITY OF CHULA VISTA, a municipal corporation, and PERSONNEL ASSO- CIATES for job classification and pay consulting services as called for in the 1987-89 Memorandum of Understanding between the City and the Chula Vista Employees' Association dated the 12th day of April , 198 8, a copy Of which is attached hereto and incorporated herein, the same as though fully set forth herein be, and the same is hereby approved. BE IT FURTHER RESOLVED that the Mayor of the City of Chula Vista be, and he is hereby authorized and directed to execute said agreement for and on behalf of the City of Chula Vista. Section I Scope of Services The classification and compensation services to be performed under this contract are as described in the Proposal, included with this contract as Attachment #1, and included in the list of positions as Attachment #2. Section II Duties of the Consultant All work performed by the Consultant shall be sufficient to meet the purposes specified by the City in its request for proposal and shall be performed under accepted practices and standards in the industry. The Consultant shall not undertake any work beyond that specified in this contract nor shall the City require such additional work unless such additional work and attendant costs are specified in writing and approved in advance by the City and the Consultant. Section III Insurance Coveraqes Consultant shall, throughout the duration of this Agreement maintain professional errors and omissions coverage with minimum coverage of One Hundred Thousand Dollars ($100,000.00). Evidence of such coverage, in the form of a Certificate of Insurance and Policy Endorsement shall be submitted to the City Clerk at 276 Fourth Avenue, Chula Vista, CA 92010. Said policy or policies shall provide thirty (30) days written notice to the City Clerk of the City of Chula Vista of cancellation or material change. Section IV Responsibilities of the City The City shall provide such scheduling assistance, information, work space, access to employees and other materials as specified in the Proposal. Section V Schedule for Completion The Consultant shall begin upon approval by City Mayor and complete the project according to the timetable approved by the Personnel Director and the Consultant representative but in no case later than 1 July, 1988. Meeting the agreed-upon timetable will depend upon reasonable cooperation of City Staff. In the event the Consultant is delayed in the performance of its services by circumstances beyond its control, it may be granted a reasonable adjustment in the timetable for completion. Section VI Pro~ect Personnel The Consultant agrees that Sheryl Lindquist, Roger Lubin, Peter Rattiger and Rita Finchum shall be assigned to assist with this project, with Roger Lubin designated as project manager. Should a change of staff be required, the City will have the right to review the qualifications and approve any additional staff member prior to their beginning work on the project. Section VII Hold Harmless Consultant agrees to indemnify and hold harmless the City of Chula Vista against and from any and all damages to property or injuries to or death of any person or persons, including property and employees or agents of the City, and shall defend, indemnify and save harmless the City, its officers, agents and employees, from any and all claims, demands, suits, actions or proceedings of any kind or nature including worker's compensation claims, of or by anyone whomsoever, in any way resulting from or arising out of the negligent or intentional acts, errors or omissions of the Consultant or any of its officers, agents or employees. Section VIII Attorneys Fees In the event of any dispute between the parties, the prevailing party shall recover its attorney fees, and any costs and expenses incurred by reason of such dispute. Section IX Payment for Services The Consultant shall bill the City monthly progress payments and one final payment, based upon work performed and expenses incurred. In no event will the amount billed exceed 80% of the total contract amount prior to submission of the final report. Total cost for this project, as proposed, shall not exceed $17,500.00. 098 .MN Attachment #2 \ !
