RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND DANIELSON DESIGN GROUP FOR CONSULTANT SERVICES
-CIVIC CENTER MASTER PLAN STUDY, APPROPRIATING FUNDS
THEREFOR
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOli', THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and DANIELSON
DESIGN GROUP for consultant services-Civic Center Master Plan
Study
dated the~day of April , 1988, a copy of which is
attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.

BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.
BE IT FURTHER RESOLVED the sum of $15,250 be, and the
same is hereby appropriated from the unappropriated balance of
the General Fund to C.I.P. Project No. GG-I05 (Master Plan for
Civic Center).

PLANNING DEPARTMENT
CONTRACT FOR PLANNING SERVICES
WHEREAS, the City of Chula Vista is in need of professional planning
seryiees to prepare a Ciyie Center Master Plan; and
WHEREAS, the City of Chula Vista has issued an inyitation to planning
firms throughout the State of Cal Horni a to submit their Statement of
Qualifieations for reYiew; and
~IHEREAS, the City eyaluated the qual ifi eati ons of six firms and
interyiewed all of these firms for possible seleetion; and
WHEREAS, Danielson Design Group was selected as the most qualified
firm for the proposed projeet due to the firm's suceessful eompl eti on of
similar projects for other publie clients.
NOW, THEREFORE, BE IT RESOLVED that the City of Chul a Vista and
Danielson Design Group, a consulting firm, do hereby mutually agree as follows:
I. PARTIES
The parties to this agreement are the City of Chula Vista, a
municipal eorporation (hereinafter referred to as "City"); and
Danielson Design Group a eonsulting firm (hereinafter referred to as
"Consul tant").
II. INTENT OF THE PARTIES
It is the intent of the City and Consultant that Consultant carry out
the attached Work Program and Project Schedule (Attachment "A"). It
is further the intent of the City that Consultant coordinate his work
with Mr. George Krempl, Director of Planning, and/or a project
committee to be seleeted by the City.
III. OBLIGATIONS OF THE CONSULTANT
City, pursuant to this agreement, hereby eontracts with Danielson
Design Group (Consultant) to act in its behalf directly and
indireetly and in conjunction with City staff in carrying out the
attached Work Program and Project Schedule (Attachment "A").
IV. OBLIGATIONS OF THE CITY
City shall regul arly consul t wi th Consul tant for the purpose of
reYiewing the progress of the Ciyic Center Master Plan project and to
proYi de direction and gui dance to achieye the objectiyes of the
project. The City shall permi t access to its office facilities,
files and records by Consultant throughout the term of the contract.

V. ADMINISTRATION OF CONTRACT
The Ci ty hereby designates the Di rector of Pl anni ng as the City I S
representatiYe in the reyiew and administration of the work performed
by Consul tant, pursuant to the attached Work Program and Project
Schedule (Attachment "A").
VI. PROJECT SCHEDULE AND COMPLETION DATES
The City hereby authorizes the Director of Planning to administer the
Work Program and Project Schedule as contained in Attachment "A".
VII. TERM
This agreement shall become effectiye upon execution as authorized by
the Mayor of the City, or hi s desi gnee, and shall termi nate, if not
termi nated pursuant to other proyi si ons contai ned herei n, or
otherwise extended by all parties, on January 1,1989.
VIII. COMPENSATION
The compensation to be paid by City to Consultant shall be on a fixed
fee basis in the amount of $65,250 in accordanee with Attaehment "B",
Sehedule of Fees, whieh shall be used by the City in determining the
amount of work eompleted by Consultant and, therefore, the pereentage
of eompensation to be paid by City to Consultant eaeh month for work
- program elements eompleted. Work program elements shall be eompleted
by Consultant to the satisfaetion of the Direetor of Planning and in
aeeordanee wi th the Work Program and Projeet Sehedul e, (Attaehment
"A"). City agrees to pay the total sum inyolyed and approved by the
Direetor of Planning eaeh month during the duration of this
agreement. Reimbursable expenses will be billed to the City per the
attaehed sehedule of fees (Attaehment "B").
IX. INTEREST OF CONSULTANT
Consultant presently has not, nor will haye duri n9 the term of thi s
eontraet, any business relationship with any persons or firms doin9
busi ness withi n the Chul a Vi sta sphere of i nfl uence area that woul d
eonstitute a eonflict of interest, but the Consultant may enter into
eontraets or business relations for work to be performed within the
City or the City's Sphere of Influenee.
X. HOLD HARMLESS
Consultant agrees to indemnify and hold harmless the City from and
against all liability, eost and expense (ineluding without limitation
attorneys' fees) ari si ng from loss of or damage to any property
whatsoever or injury to or death of any person whomsoeyer eaused or

oeeasioned by the negl i gent act or omission of Consul tant or any
~ agent or employee of Consultant, arising out of or in eonnection with
this agreement or the work to be performed by Consultant hereunder.
XI. TERMINATION OF AGREEMENT FOR CAUSE
If, throu9h any eause within Consultants eontrol, Consultant shall
fail to fulfill in a timely and proper manner his obligations under
this agreement, or if Consultant shall yiolate any of the eoyenants,
agreements, or stipulations of this agreement, City shall haye the
right to terminate this agreement by giYing wri tten notice to
Consul tant of sueh termination and specifyi ng the effeetiye date
thereof at least fiye (5) days before the effeetive date of sueh
termination. In that eyent, all fi ni shed or unfi ni shed documents,
data, studies, suryeys, drawings, maps, reports, and other materials
prepared by Consultant shall, at the option of the City, beeome the
property of the City after Consul tant has reeeiyed just and equi tabl e
eompensati on for any work sati sfactorily eompl eted on sueh documents
and other materials up to the effeetiye date of noti ee of
termination, not to exeeed the amounts payable under Paragraph VIII
hereinaboye.
XI I. TERMINATION OF AGREEMENT FOR CONVENIENCE OF CITY
City may terminate this agreement at any time and for any reason by
giying speeifie written notiee to Consultant of sueh termination and
speeifying the effeeti ye date thereof, at 1 east thirty (30) days
before the effeetiye date of such termination. In that eyent, all
fi ni shed and unfi ni shed doeuments and other ma teri a 1 s deseri bed in
Paragraph VIII hereinaboye shall, at the option of the City, become
City's sole and exclusiye property after Consultant has reeeiyed just
and equitable eompensation for any sati sfaetory work completed on
such doeuments and other materi al s to the effeetiye date of sueh
termination. Consul tant hereby expressly waiyes any and all el aims
for damages or compensati on ari sing under this agreement exeept as
set forth in Paragraph VIII hereinaboye in the eyent of sueh
termination.
XI II. ASSIGNABILITY
Consultant shall not assign any interest in this agreement, and shall
not transfer any interest in the same (whether by assignment or
noyation), without prior written eonsent of City.
XIV. OWNERSHIP, PUBLICATION, REPRODUCTION AND USE OF MATERIAL
After full payment to Consultant as required in this agreement, (1)
All reports, studies, information, data, statistics, forms, designs,
pl ans, proeedures, systems, and any other materials or properties
produeed under this agreement shall be the sole and exelusiye

property of City; (2) No sueh materi al s or properti es produeed in
whole or in part under this agreement shall be subjeet to priyate
use, eopy rights, or patent rights by Consultant in the United States
or in any other country without the expressed wri tten consent of
City; and (3) City shall haye unrestrieted authority to publish,
di sel ose (as may be 1 imi ted by the proYi si ons of the Publ i c Reeords
Aet), distribute, and otherwise use, eopyright or patent, in whole or
in part, any sueh reports, studies, data, statisties, forms or other
materials or properties produeed under this agreement.
Notwi thstandi ng the foregoing, Consultant shall haye the ri ght to
make one eopy of projeet materials and documentation related to the
projeet for his records. The Consultant may show to others seleeted
items as part of business deyelopment. The Consultant warrants that
display of this information will not cause harm to the City. The
City agrees to i ndemni fy and hol d the Consultant free and harml ess
from any elaim or liability arising from any use of this material by
the City other than the purpose intended for this projeet.
XV. INDEPENDENT CONTRACTOR
City is interested only in the results obtained and Consultant shall
perform as an independent eontraetor with sole eontrol of the manner
and means of performing the seryiees required under this agreement.
City maintains the right only to reject or accept Consultant's work
produet{s). Consultant and any of Consultant's agents, employees, or
representatiyes are, for all purposes under this agreement, an
- independent eontraetor, and shall not be deemed to be an employee of
City, and none of them shall be entitl ed to any benefi ts to which
City employees are entitled, including but not limited to, oyertime,
retirement benefits, worker's eompensation benefits, injury leaye, or
other leaye benefits.
XVI. CHANGES
City may from time to time require ehanges in the seope of the
seryi ces by Consul tant to be performed under thi s agreement. Sueh
ehanges i nel uding any ehange in the amount of Consul tant' s
eompensation which are mutually agreed upon by City and Consultant
shall be effecti ye as amendments to this agreement only when in
writing.
XVII. ATTORNEY'S FEES
In the eyent of any dispute between the parties, the preyailing party
shall reeoyer attorney's fees and any eosts and expenses incurred by
reason of sueh dispute as an item of eost, not of damage.

1ECHNICALAPPROACH & METHODOLOGY
TASK I - ASSESS TIlE SPACE NEEDS
CONCEPT OF WORK
Allocation of the correct amount of space to every activity and function in
a program greatly determines the quality and efficiency of the actual design
itself. We understand the City's desire to projectracility and personnel
needs through the year 2010. As your Architect,we will need to translate
the City's ideas, objectives and needs into square foot areas of net usable
space, as well as into square feet of space required for service and
circulation. This objective will be accomplished through the completion of
tasks listed below.
A Kick-off Meeting
As part of the project start-up meeting, existing City documents
related to the Civic Center will be reviewed. The review will
particularly focus on existing space and equipment items. We will
- also review other relevant information that may exist such as prior
studies, department policy statements, current/future employee
projections, and existing workload/service level statistics. The
start-up meeting will also be a good opportunity for the City and the
project team to discuss any other issues or considerations regarding
this project. During this meeting, the City will need to designate a
"project committee" for interim reviews during later stages of this
project.

B. Related Facility Walk-Through Visits
Walk-throughs of similar recently completed facilities by
architectural team and selected City personnel to gain an
understanding of recent design solutions and alternatives.
C. Inventory Existing Space
Interior areas will be inventoried as needed to create an accurate,
updated information base for space needs projections. The projeet
team will personally investigate each area as an important step
towards understanding the adequacy or deficiency of each space.
Special problem areas will receive extra attention. In addition, we
will give special attention to the technical and equipfl)-ent aspects of
the existing facilities as a basis for formulating new space and
adjacency requirements for these areas.
D. Interviews With Key Personnel
We will develop a structured interview format for the interviews of
the key personnel. It will be based on suecessful interview formats
used in projects with other cities. The interviews will focus on
current spatial problems, future needs for space, and other unmet
facility needs.

Interview notes will be prepared by the project team and returned to
the interviewed staff person (as well as City Management staff) for
their review, clarification and further comment.
E. Department Visits
Based on the information obtained from the detailed interviews, the
'~ . project team will further visit key areas of certain departments as
needed to observe daily activities and get a better understanding of
key issues. Although the earlier interview sessions will provide a
detailed walk-through opportunity, this task will allow areas of
special importance to be researched further. The visits will also
provide an opportunity to ask any follow-up questions to the
structured interviews.
F. Review Expected Short and Long Term Organizational Growth/Changes to
. Departments
Related to the interview proeess, we will review with the Project
Committee each department's expected staffing and service growth. In
addition, we will review with the Committee potential further levels
of computerization, changes in equipment, other technological changes,
potential reorganization of any department, and any other factors that
will influence future space needs.
G. Finalize With Project Committee The Current & Future Staffing/Service
Projections of Each Department
Based on the above tasks, a finalized list will be developed
indieating the current and future staffing and service projections of
- each department to be housed in Civic Center Facilities. This will

¡ form a key information base to the upcoming space projections. The
project team will need Committee approval of the staffing and service
projections prior to formulating the space and adjacepcy requirements.
H. Develop Space Needs and Adjacency Requirements
Accurate space needs will be developed for all office areas and
related spaces. The projections will be based on all of the findings
of prior tasks. An efficient and effective allocation of spaces will
be the goal. We will insure that the areas are sized to provide
flexibility and adaptability for future needs. Diagrams will be
inclu,ded that graphically indicate the space and adjacency
reqUIrements.

I. Develop Space Needs and Adjacency Requirements for Equipment and
Technical Areas.
Additional space needs will be developed for all equipment, vehicular
and technical areas of the project (such as fire department functions,
maintenance shops, etc.).
J. Documentation of Process

Memorandum will be prepared throughout the process documenting each
step, decisions reached and actions taken. Draft summaries on
specific topics in the above tasks will also be submitted to the
Project Committee for review and comment.
TASK II - ANALYZE TIIE SITE
.
CONCEPT OF WORK
Our project team feels an important step that should be undertaken as part
of any Civic Center expansion is a site analysis exercise. This exercise
would look at the entire area surrounding the existing Civic Center complex
an? study site constraints, future parking needs, flood area, adjacent
pnvate property, etc..
This study is important if the site is to develop in phases. The potential
for prior phases of construction precluding development of future facilities
to their highest potential and best design could be threatened if this study
is not undertaken at this time,

A. Review of Existing Data
A thorough review of all existing and proposed work on the site would
be performed by the project team members. This would include meetings
with City staff to obtain and review data regarding public works,
engineering, utilities, fire access, security, landscape and
maintenance, site drainage, pedestrian and yehicular access, etc.
H. Opportunities and Constraints Map
As a result of our reyiew of existing data we will generate an
Opportunities and Constraints Map which will depict in graphic form
the potential for total deyelopment of the site. This map will
address such issues as solar access, enviJòrunental eonstraints,
physical constraints, flood hazards, and view corridors.
C. Site Alternatives
Two alternative scenarios will look at the whole site, reviewing
parking count and potential areas for parking. They will take into
account the City's phasing plan and show the potential for future
build-out. The scenarios will also suggest criteria for future
landscape elements such as view corridors, buffers, building setbacks,
pedestrian links, opportunities for signage, etc.. At lease one
alternative will address expansion of the Civic Center on to adjacent
private property in order to achieye the optimum Civic Center layout.
A cost comparison estimate will be provided between alternatives.
TASK ill - REPORT OF RECOMMENDA TIÒNS

CONCEPT OF WORK
After we have assessed the space needs and analyzed the site, a written
report will be prepared containing our findings and recommendations. This
report will contain the following: (I) The various factors considered in the
evaluation of the site, (2) The impact on the areas due to any expansion
plans, (3) Analyses of alternatives, and (4) Recommendations and
alternatives for the locations of any future municipal building expansion.

A. Produce Draft Report & Review with Project Committee
Based on all of the prior work to date (including submittal and review
of draft summaries on specific topics in the above tasks), we will
deyelop a clear Draft Report that summarizes and ties together our
entire work. The Draft Report will be submitted to the Project
Committee as well as other project participants (as desired by the
City) for review. Comments and final refinements will be reeeived in
writing, leading to the development of a Final Report.
B. Produce Final Report & Submit to City for Approval
Based on the review comments regarding the Draft Report, we will
produce and submit a Final Report to the City. This report will
contain a summary of our review of exisring data, both site
alternatives, a cost comparison estimate,: and our findings and
recommendations. Our recommendations will include brief statements on
architectural and landscape guidelines. Once approved, this Site
Master Planning Report will become a reference document for future
site development and planning of the Civic Center. Emphasis will be
placed on producing a clear report that is easily "digestible". We
will be available as needed for presentations of our findings to City
staff, Planning Commission and City Council. Approval by the City
Council will form the basis for initiating the conceptual Master Site
Plan task of this project.
TASK IV - CONCEPTUAL MASTER SITE PLAN
CONCEPT OF WORK
. Once the Report of Recommendations is approved by the City Council, the
projected space needs and physical requirements of the Civic Center for
the next 20 years will be known. An illustrative Master Plan should then be
developed to show existing building locations, future building expansion,
existing and future parking areas, walkways and landseape areas.
A. Site Visit and Review
A site visit by the projeet team will be completed prior to generation
of any further tasks. This site visit will reaffirm site
opportunities and constraints by all the project team members.
Potentials with respect to building placement, site security, access
points, site lighting, visual buffers, general landscape character,
and existing construction will be investigated.

B. Conceptual Site Plans
Based upon the approved Final Report of the space needs and adjacency
requirements, and the site analysis, the project team will refine the
two conceptual site plan alternatives generated under Task II. These
site plan alternatives, will include space alloeations and design
relationships for the following:
1. Site drainage/rough grading concept
2. Circulation, pedestrian, bicycles, auto parking including equipment
parking and loading areas.
3. Buildings and structures.
4. Bulk material and vehicle storag~ areas (if required).
5. Setbaeks and buffer zones.
6. General landscape character for improyed areas
7. Identity and entry hierarchy and signing
8. Site lighting.
C. Review Meeting With Project Committee
- . Project Committee will review site plan alternatives with the project
team to select an alternative or a combination of both alternatiyes.
This selection will form the base for the remaining master site plan
exhibits. Also, any input from the Project Committee regarding
architectural style, etc., will be encouraged and discussed by the
projeet team at this time.
D. Conceptual Master Site Plan
. Based on approved conceptual site plan alternative, a final rendered
conceptual site plan will be generated. This final conceptual Master
Site Plan will include a schematic grading and drainage plan,
schematic utility plan for sewer and water, and any other unusual
improvement requirements. The plan will also include parking areas,
landscaped areas, etc..
E. Conceptual Space Plan
A single line Conceptual Space Plan will be developed based on the
above tasks. A complete preliminary detailed layout of all open and
closed office areas will be established, in addition to developmental
refinement of City staff areas, public counter areas, and all other
major interior spaces within the City complex. These "block area
plans" will include system partition locations, but the details of
what components are included will be indicated at a later stage. This
will be submitted for review, refined and submitted for approval to
the City as part of the Conceptual Master Site Plan package.
F. Budget for Design and Construction Costs
The project team will generate a construction budget based on the
space needs study as well as the conceptúal design drawings. This
preliminary construction budget estimate will include site costs,
operational analysis of the site, and in addition will reflect civic,
architectural, structural, mechanical, and electrical discipline
items. As a member of our project team, we have hired a cost estimator
for this specific task. .
G. Conceptual Drawing and Budget Review Meeting
The Project Committee will review and comment on the conceptual
drawings and design and construction budget estimates. This meeting
represents the final opportunity for any comments, revisions, etc., to
be incorporated into the final Master Site Plan drawings and budgets.
- H. Final Conceptual Drawings and Budgets Submission to City for Approval
After inclusion of any comments or revisions from the above review
meeting, final Master Site Plan drawings and budget will be submitted
to the City for approval. We will be available as needed for
presentations of our findings to the City Council. This final
approval forms the basis for initiating any future Design Development
phase of this project.
