DATED the CITY OF C~'ULA , 19 75 by City Cler ~~_~` _1 -~ AGREEMENT WITH FACILITY SCIENCES CORPORATION FOR A SPACE NEEDS STUDY THIS AGREEMENT, is entered into this 4th day of November , 1975, by and between FACILITY SCIENCES CORPORATION, 9100 Wilshire Blvd., Beverly Hills, California 90212, hereinafter called "Consultant", and THE CITY OF CHULA VISTA, a municipal corporation, hereinafter called "City"; W I T N E S S E T H WHEREAS, the City Council has determined that it is desirable to obtain the assistance of a consulting firm to conduct a space needs study for City operations within the Chula Vista Civic Center complex including the soon to be vacated existing Library building and the recently acquired Post Office building, and WHEREAS, having received proposals from several firms specializing in the analysis of space needs and providing pro- fessional facility planning services, the City of Chula Vista has selected the firm of Facility Sciences Corporation at 9100 Wilshire Blvd., Beverly Hills, California 90212 and said Consul- tant agrees to perform such consulting services for the City of Chula Vista. NOW, THEREFORE, IT IS MUTUALLY UNDERSTOOD AND AGREED by and between the parties that the Consultant will perform the work as set forth herein and in the amount agreed upon under the conditions stipulated, as follows: I. SCOPE OF STUDY. Utilizing a "clean slate" approach to the space needs of the City of Chula Vista, the study will provide a master plan of facility utilization for the entire Civic Center excluding the Fire Department, the Police Department, Library and Data Processing. Consultant will provide a written report that will provide a long range space utilization program for the City Hall, the old Library, and the Post Office building. II. MAJOR PURPOSES OF THE STUDY. The following are identified as the major purposes of the entire study: 1. To determine probable quantities of building space required between now and 1990 by municipal functions within the Civic Center. 2. To determine the best use of the newly available Post Office and old Library buildings. 3. To determine the best use of currently occupied Civic Center space as a result of the expansion into the newly available buildings. - 1 - III. 6~TORK TO BE _ACCOMPLISHED. f' The work program to be undertaken in the phases as set forth in the proposal of Consultant to the City of Chula Vista dated July 25, 1975 is intended to achieve the following study objectives: 1. Survey the departments and their facilities to determine present occupancies, space utilization, problems, and deficiencies. 2. Collect information by interview and questionnaire on future personnel forecasts, interdepartmental rela- tionships, public contact, support services, and other relevant factors. 3. Determine baseline (present) space requirements for each department and forecast space needs for 1980 and 1990 by a net area factor technique. 4. Evaluate alternative occupancy plans that indicate the future building locations of each department predi- cated on adjacency requirements, space requirements vs. available space, minimization of remodeling Costs, and expansion requirements. 5. Evaluate alternative location plans for Purchasing, Printing, Storeroom, Redevelopment, Council offices, and Council Chambers. 6. Evaluate the impact of the municipal Court upon the efficient utilization of space. 7. Identify alternative interior planning concepts applicable to the old Library and Post Office buildings ranging from conventional to system landscaping, and prepare preliminary estimates of relative costs. 8. Prepare a final written report on the findings and conclusions of the study supported by single-line sche- matic block allocation drawings of the City Hall, old Library, and Post Office buildings. IV. SCHEDULE OF WORK. As a professional facility planning service, Consultant will, within reason, be available to representatives of the City as needed to achieve the aforementioned study objectives. The work program will be completed within approximately ten (10) weeks from the execution of this agreement. V, GENERAL PROVISIONS. The following general provisions and conditions are included in this agreement: A. Consultant's Travel. Consultant will make such trips to Chula Vista as are reasonably necessary to carry out the objectives of this agreement. Said travel, lodging, meals and telephone expenses shall be borne by the Consultant and are considered to be compensated for in the total fee. However, any extra- ordinary trips or conferences required by either the staff or City Council shall be reimbursed over and above the fixed fee. - 2 - B. Consultant's Out-of-Pocket Expenses. Consultant's expenses for out-of-pocket costs, prints, and duplica- tion shall also be fully compensated from the total fee. C. Consultant as an Independent Contractor. In the performance o the ob legations and responsibilities set forth in this agreement, the Consultant shall have the status of an independent contractor and in no sense shall be considered an employee of the City of Chula Vista. D. City's Responsibility for Supplying Plans and Other Items. The Consultant shall be provided, promptly and wi hout charge, copies of all maps, plans, specifications, shop drawings, prices, cost estimates, contract documents, reports, studies, correspondence, and other materials required by him for the proper execution of his respon- sibilities, providing that such items shall be returned to the City when no longer needed, or upon written re- quest. E. Additional Contract or Agreement Provisions. 1. This agreement may be amended at any time by mutual consent. 2. This agreement may be terminated upon thirty (30) days written notice by either party. 3. In the event of termination before completion of the project, the Consultant shall be paid for services rendered to the date of termination unless settlement is otherwise negotiated. F. Hold Harmless. The Consultant shall, and hereby agrees to, old the City harmless for any and all losses or damages suffered by the City as the result of claims, suits, actions, or proceedings, whether in law or equity, or otherwise, arising out of or as a result of the per- formance of the Consultant's duties hereunder, including but not necessarily limited to, such claims, suits, actions, or proceedings for the infringement of copyrights, or other proprietary rights of the Consultant or others. G. Additional Services. Should the City wish to retain Consultant for services other than those included in this agreement, this may be done by amending the agreement between the City and Consultant. VI. OWNERSHIP - FINAL REPORT. The final report outlining several alternative occupancy plans for all floor space under consideration, including cost esti- mates for each, will become the sole and exclusive property of the City of Chula Vista upon final payment of the fee. VII. SCHEDULE OF FEES AND PAYMENT. The Consultant's services as detailed in this agreement will be compensated for by the payment of a total fee of $12,110.00, to be disbursed as follows: - 3 - 1. Upon the approval of this agreement by the City Council, Consultant shall receive the sum of $4,000.00. 2. Five (5) weeks from the date of execution of the agreement, Consultant shall receive an additional $4,000.00. 3. Upon presentation and acceptance of the final (20 copies) written report, Consultant shall receive a final pay- ment of $4,110.00.
