RESOLUTION OF THE CITY COUNCIL Ors THE CITY OF CHULA
VISTA, APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND DR. JOSEPH D. RUDERMAN AND SYLVIA L. RUDERMAN
FOR THE SALE AND PURCHASE OF THE POSTAL BUILDING LOCATED
AT FOURTH AND "F" STREET IN THE CITY OF CHULA VISTA,
AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT,
AND APPROPRIATING FUNDS THEREFOR
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED that that certain agreement
between THE CITY OF C~~ULA VISTA, a municipal corporation, and
Dr. Joseph D. Ruderman
of the postal building

NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Chula Vista that the sum of $32,000.00 be, and the same is
hereby appropriated from the unappropriated surplus of Federal Revenue
Sharing Funds and that said sum be and the same is hereby authorized
to be expended for the purchase of the postal building.
BE IT FURTHER RESOLVED that the Mayor of the City of Chula
Vista be, and he ~s hereby authorized and directed to execute said
agreement for and on behalf of the City of Chula Vista,

AGREEMENT FOR THE SALE AND PURCHASE OF THE POSTAL
BUILDING LOCATED AT FOURTH AND "F" STREET IN THE
CITY OF CHULA VISTA FROM DR. JOSEPH D. RUDERMAN
AND SYLVIA L. RUDERMAN TO THE CITY OF CHULA VISTA
THIS AGREEMENT, made and entered into this 16th day of
September , 1975, by and between the CITY OF CHULA
VISTA, a municipal corporation, hereinafter referred to as "Pur-
chaser", and DR. JOSEPH D. RUDERMAN and SYLVIA L. RUDERMAN, as
Tenants in Common, 162 Stone Street, Watertown, New York 13601,
hereinafter referred to as "Seller";
W I T N E S S E T H
WHEREAS, Dr. Joseph D. and Sylvia L. Ruderman are the
owners of certain real property, described more fully hereinbelow,
consisting of a building formerly used for postal purposes within
the City of Chula Vista, County of San Diego, and
WHEREAS, Purchaser holds a fee interest in the land upon
which said building rests, pursuant to a former agreement between
Sellers and Purchaser as set forth in Resolution No. 1717, as
amended, and
WHEREAS, said Resolution No. 1717, as later amended, gives
the right to Purchaser to obtain all rights and interests in the
building situated upon Purchaser's real property, and
WHEREAS, Purchaser desires to acquire said building in
accordance with the terms and conditions set forth in the prior
lease agreement, for the purposes of using said building for the
housing of City staff, and
WHEREAS, the parties hereto have reached an agreement
which they now wish to reduce to writing.
NOW, THEREFORE, IN CONSIDERATION OF THE PROMISES extended
by and between the parties to this agreement, said parties hereto
agree as follows:
1. Sellers agree to sell and Purchaser agrees to pur-
chase that certain real property situated in the City of Chula
Vista, County of San Diego, State of California, more particularly
described as follows:
The building, fixtures and all appurtenant structures
of every kind located on:
The Westerly 173.00 feet of the Easterly 237.39
feet of the Southerly 116.00 feet of Lot 13 of
Quarter Section 149 of Chula Vista, in the City
of Chula Vista, County of San Diego, State of
California, according to Map thereof No. 505,
filed March 13, 1888 in the Office of the County
Recorder of said San Diego County; containing
20,068 square feet.
2. Purchaser hereby agrees to pay for said real pro-
perty, including any improvements made thereto, free of all liens
and encumbrances of any nature whatsoever, the sum of THIRTY-TWO
THOUSAND DOLLARS ($32,000.00). Said sum of $32,000.00 represents
the undepreciated value of said building based upon the terms and
conditions contained in the prior agreements between Purchaser
and Seller.

3. Purchaser shall, upon signature of Sellers, deposit
the sum of $32,000.00 with the Finance Officer of the City of Chula
Vista; said sum to be disbursed into escrow upon the issuance of
a policy of title insurance showing titled vested in Sellers. Said
escrow shall be established with a party mutually agreeable to
Purchaser and Sellers to provide for the transfer of title to said
property. Sellers shall further deposit with said escrow agent
a deed of conveyance for the real property described hereinabove.
Purchaser and Sellers agree that a thirty (30) day escrow period
shall be established unless or until a lesser period is mutually
agreed upon by the parties to this agreement. Sellers agree to
share all normal costs of escrow and to provide a good and valid
title policy for said property. The costs incurred by virtue of
the escrow and the securing of a title policy shall be shared on
a 50-50 basis between Purchaser and Sellers.
4. All taxes assessed on the subject property shall
be prorated between Purchaser and Sellers from the date of posses-
sion.
5. The terms and conditions to be included in said escrow
instructions shall be those found mutually agreeable by the Purchaser,
through their City Attorney, and by Dr. Joseph D. and Sylvia L. Ruder-
man, or their authorized representative.
6. This agreement shall bind, and inure to the benefit of
the heirs, executors, administrators, successors and assigns of the
parties hereto.
IN WITNESS WHEREOF, the parties hereto have caused this
agreement to be executed the day and year first hereinabove set
forth.
