RESOLUTION NO. 13412
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CHULA
VISTA APPROVING AGREEMENT BETWEEN THE CITY OF CHULA
VISTA AND WYATT COMPANY FOR BENEFIT CONSULTING SERVICES
APPROPRIATING FUNDS THEREFOR,
AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT
The City Council of the City of Chula Vista does hereby
resolve as follows:
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Chula Vista that that certain agreement between THE
CITY OF CHULA VISTA, a municipal corporation, and WYATT COMPANY
for benefit consulting services
dated the 12th day of January , 1988 , a copy of which is
attached hereto and incorporated herein, the same as though fully
set forth herein be, and the same is hereby approved.
BE IT FURTHER RESOLVED that the sum of $20,000 be, and the
same is hereby appropriated from the unappropriated reserve of the
General Fund to the Insurance Account 100-0700-5202.
BE IT FURTHER RESOLVED that the Mayor of the City of
Chula Vista be, and he is hereby authorized and directed to
execute said agreement for and on behalf of the City of Chula
Vista.

This Agreement is entered into between the City of Chula Vista,
hereinafter referred to "City" and the Wyatt Company, a Delaware
corporation, hereinafter referred to as "Consultant".
City and Consultant agree as follows:
I. Term. The term of the agreement is for one year commencing
on January 12, 1988 and terminating January 11, 1989.
II. Scope of Work - Consultant. Consultant agrees to provide
the following services:
A. An annual financial evaluation of plan results for the
past plan year which sets forth a complete accounting
of all employee benefit dollars spent. Included will
be:
1. A breakdown of claims experience/benefit payments
by plan and on an employee versus dependents basis.
2. An accounting of nonbenefit plan costs such as:
a. Insurance premiums/contributions
b. Special risk and pooling charges
c. Claims administration charges
d. Booklets, forms, and printing costs
e. Premium taxes, where applicable
3. An evaluation of plan expenses for claims and
nonbenefit costs compared with expected
contribution rates/premiums for the period.
4. Evaluation of rate and contribution levels to
support the plan for the next plan year.
5. Development of cash versus accrual accounting
costs, including the establishment of reserve
levels necessary to support the plan and properly
state plan liabilities at year end.
6. Comparisons of expected versus actual claims
experience.
B. An evaluation of the adequacy of benefit levels and
plans provided by the City. In particular, how the
City's plans compare with those of other government
agencies and area employers.
C. Ongoing advice concerning government legislation
impacting employee benefits and compliance procedures.
D. Assistance with plan contracts, amendments, and the
salary negotiation process.
E. Assistance in updating employee communications,
booklets, and plan documents to support both the
insured and quasi self-funded (minimum premium) plans.
F. Assistance and advice concerning problem claims, claims
audits, and administrative procedures.
G. Meetings with City staff, insurance committee, City
Council, and providers/carriers, as needed, during the
plan year.
H. Our annual plan financial analysis including a full
written report of results as well as findings and
recommendations for future improvements.
I. Collect copies of current benefit plans, handbooks, and
contracts and prepare a spreadsheet for the main
provisions of each plan.
J. Develop a handbook theme and outline.
K. Write employee handbook, describing each plan and
summarizing plan highlights (by bargaining
unit/employee association)
III. CitV Responsibilities. The City agrees to provide census
information, copies of existing benefit plans and
Memorandums of Understanding to Consultant as needed to
complete the Scope of Work outlined in Section II.
IV. Compensation. City will pay Consultant a sum not to exceed
$20,000 for all work set forth in Section II of this
Agreement. Consultant shall be paid for services in
accordance with the maximum fee set forth herein by billing
the City on a quarterly basis using the following hourly
rates:
Project Manager $145
Actuary & Underwriter $160
Actuarial Assistant $100
V. Hold Harmless. Consultant agrees to indemnify and hold
harmless the City of Chula Vista against and from any and
all damages to property or injuries to or death of any
person or persons, including property and employees or
agents of the City, and shall defend, indemnify and save
harmless the City, its officers, agents and employees, from
any and all claims, demands, suits, actions or proceedings
of any kind or nature including worker's compensation
claims, of or by anyone whomsoever, in any way resulting
from or arising out of the negligent or intentional acts,
errors or omissions of the Consultant or any of its
officers, agents or employees.
vi. Insurance. Consultant must maintain the following
insurance coverages throughout the duration of this
agreement:
A. General Liability to $1 million.
B. Worker's Compensation to the statutory limits.
C. Insurance Agents Errors and Omissions Insurance to $1
million.

Evidence of such coverages, in the form of a Certificate of
Insurance, shall be submitted to the City Clerk at 276
Fourth Avenue, Chula Vista, CA 92010.
The above policies shall provide a thirty (30) day written
notice to the City Clerk of the City of Chula Vista of
Cancellation or material change.
